“The organization has one class of membership. The primary right and obligation of the members is to elect an effective board of directors.”
“The number of directors, the persons eligible to become directors and the classes of members eligible to elect and/or nominate directors may be amended at any time by a vote of the board of directors or by a vote of the members.”
“Form 990 and related state filings are prepared by an independant cpa. The forms are reviewed and approved by the organization's board of directors before submission to the tax authorities.”
“Members of the board of directors are required annually to sign an affirimation of conflict of interest policy and disclosure form in which they affirm that they have received a oopy of the policy, have read and understood it and have agreed to comply with the policy. They must also describe any relationships in which they have been involved that could contribute to, or consitute a conflict of interest. Monitoring and enforcement of the policy by the baord are set out in article iii.”
“Omsf seeks to bring the best talent to the organization to help us further our mission, regardless of the prospective employee's geographic location. Omsf will determine the appropriate salary range for each position by conducting regular market surveys of comparable roles within a geographic region of interest. We will review and adjust salary ranges annually to ensure they remain competitive and equitable. Our organization will base compensation on the employee's job responsibilities, level of experience, education, and skills required to perform the job. Length of service, age, or any other factor not directly related to the position requirements will not be considered. We will establish salary ranges for each job classification, and will make salary offers within the established range. We will maintain accurate job descriptions for all positions, which will include the essential duties and responsibilities of each role. We will require employees supported by multiple projects or federal funding to maintain accurate and up-to-date time and attendance records, which will be used to verify the hours worked by each employee and appropriate assignment of effort invested in a specific project. For hosted project employees, all salary and wage payments need to be first approved by their appropriate governing body. The salary and wage payment for all employees must be further approved by the executive director or president to ensure equitable compensation across the organization for comparable roles. The salary of the executive director and other officers must be approved by the board of directors. Similar to the guidelines for employees, the total compensation for organization's officers is to be determined by the available budget and compared to compensations for similar roles in other (similar) organizations. Officers employed by omsf are entitled to all benefits offered to other employees, as described above. The total compensation needs to be approved by the majority vote of the board of directors. If an officer is a voting member of the board of directors, he or she will be excluded from voting on the matter of their compensation.”

“Line 4a in 2022, omsf launched one new hosted project (openfold) and continued to support our existing two open source projects in molecular sciences - open force field and open free energy. We also submitted three grant applications in 2022 to support our community-oriented programs. We were successfully awarded one from the chan zuckerberg initiative in nov 2022, where the total award is set to 349,000 over two years. We have also launched a service program in collaboration with memorial sloan kettering cancer center to help them adjust and further build on top of the software infrastructure developed by open force field and open free energy for their federally funded asap avidd project. We also continued to develop and improve our internal administrative processes to better serve our projects and communities. We brought in two new directors, clara christ (bayer) and brian weitzner (outpace bio), who act both as industry representatives and representatives of open free energy and openfold, respectively, on our board. We plan to continue to expand the board in 2023 with the goal of better understanding of challenges our community is facing with respect to development and governance of new technologies in the field of molecular sciences, and how omsf could help solve some of these challenges. In 2 short years of omsf existence, we have received a lot of interest and support from both academic and industry researchers, clearly signaling the need for a new type of organization that can tackle some of the ongoing problems with development and maintenance of common infrastructure, in addition to the traditional research institutions. Below, we provide a more detailed report about our activities associated with hosted projects, grants and program services. 1.hosted projects: open force field initiative mission: the open force field consortium (openff) is a network of academic and industry researchers working together to advance science and infrastructure required for building the next generation of small molecule and biomolecular force fields, launched in oct 2018. Force fields are physics-based models, i.e. Sets of parameters describing interactions between atoms and a prerequisite for computational simulations of molecular systems larger than a few hundreds of atoms. The shared goal of the researchers in the consortium is to develop automated and systematic data- driven techniques to parameterize and assess new generations of more accurate force fields. Software and data are released under open licensing agreements to enable rapid application, validation, extension and any kind of modification by our users and contributors. In addition, the consortium aims to build and support a strong community of users and contributors from industry and academia. Contributions and governance: funding for the openff consortium is raised via membership fees contributed by the participating industry partners - this funding is primarily focused on software development and maintenance to build reliable and production-ready open source infrastructure. There are 3 membership tiers associated with this consortium, where the membership fees are set to 100,000, 50,000 and 20,000 going from the highest to lowest tier. The consortium currently has 13 industry partners. The industry partners supporting the openff consortium get to appoint representatives to the openff advisory board, which meets regularly once a month to discuss progress and future directions for the project with the core developer team. The average annual revenue for openff is around 600k/year and the majority of this funding is spent on the core team's salaries. Openff allows in-kind contributions in the form of fte effort and compute time. In 2022, openff had one full-time contributor employed at boehringer-ingelheim (germany) and compute time donated by the adjacent research groups or high-computing facilities to test and benchmark newly developed software and force fields. | IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt | 0 | 1.OUR MISSION IS TO ACCELERATE SCIENTIFIC, TECHNICAL, AND COMMERCIAL PROGRESS THROUGH RAPID DEVELOPMENT AND DISSEMINATION OF HIGH QUALITY RESEARCH SOFTWARE AND DIGITAL INFRASTRUCTURE IN MOLECULAR SCIENCES, AND BY FACILITATING OPEN COLLABORATION AND COMMUNITY BUILDING. |
| IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt | 1 | LINE 4A IN 2022, OMSF LAUNCHED ONE NEW HOSTED PROJECT (OPENFOLD) AND CONTINUED TO SUPPORT OUR EXISTING TWO OPEN SOURCE PROJECTS IN MOLECULAR SCIENCES - OPEN FORCE FIELD AND OPEN FREE ENERGY. | IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt | 3 | THE ORGANIZATION HAS ONE CLASS OF MEMBERSHIP. THE PRIMARY RIGHT AND OBLIGATION OF THE MEMBERS IS TO ELECT AN EFFECTIVE BOARD OF DIRECTORS. |
| IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt | 4 | THE NUMBER OF DIRECTORS, THE PERSONS ELIGIBLE TO BECOME DIRECTORS AND THE CLASSES OF MEMBERS ELIGIBLE TO ELECT AND/OR NOMINATE DIRECTORS MAY BE AMENDED AT ANY TIME BY A VOTE OF THE BOARD OF DIRECTORS OR BY A VOTE OF THE MEMBERS. |
| IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt | 5 | FORM 990 AND RELATED STATE FILINGS ARE PREPARED BY AN INDEPENDANT CPA. THE FORMS ARE REVIEWED AND APPROVED BY THE ORGANIZATION'S BOARD OF DIRECTORS BEFORE SUBMISSION TO THE TAX AUTHORITIES. |
| IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt | 6 | MEMBERS OF THE BOARD OF DIRECTORS ARE REQUIRED ANNUALLY TO SIGN AN AFFIRIMATION OF CONFLICT OF INTEREST POLICY AND DISCLOSURE FORM IN WHICH THEY AFFIRM THAT THEY HAVE RECEIVED A OOPY OF THE POLICY, HAVE READ AND UNDERSTOOD IT AND HAVE AGREED TO COMPLY WITH THE POLICY. THEY MUST ALSO DESCRIBE ANY RELATIONSHIPS IN WHICH THEY HAVE BEEN INVOLVED THAT COULD CONTRIBUTE TO, OR CONSITUTE A CONFLICT OF INTEREST. MONITORING AND ENFORCEMENT OF THE POLICY BY THE BAORD ARE SET OUT IN ARTICLE III. |
| IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt | 7 | OMSF SEEKS TO BRING THE BEST TALENT TO THE ORGANIZATION TO HELP US FURTHER OUR MISSION, REGARDLESS OF THE PROSPECTIVE EMPLOYEE'S GEOGRAPHIC LOCATION. IF AN OFFICER IS A VOTING MEMBER OF THE BOARD OF DIRECTORS, HE OR SHE WILL BE EXCLUDED FROM VOTING ON THE MATTER OF THEIR COMPENSATION. |
