Governance Explanations

Form 990, Part VI, Section A, Line 1A

The board of directors has an executive committee consisting of the officers of the board, the past chair of the board and the ceo. The executive committee has and may exercise all of the authority of the board in the management of the organization's business and affairs between meetings of the board, except that the executive committee does not have authority to (a) fill vacancies on the board of directors, in any office, or in any committee that has the authority of the board; (b) amend or repeal the articles of incorporation or bylaws or adopt new bylaws; (c) amend or repeal any resolution of the board that by its express terms is not subject to amendment or repeal; (d) establish any other committee or appoint the members of such committees; (e) approve a plan of merger, consolidation, voluntary dissolution, bankruptcy or reorganization; (f) approve a plan for the sale, lease or exchange of all or subsantially all of the organization's property and assets other than in the usual and regular course of business or revoke any such plan; and (g) approve any transaction that conflicts with the organization's conflict of interest policy.

Prior to filing, the form 990 is reviewed by the cfo, the ceo, and the board of directors.

Form 990, Part VI, Section B, Line 12C

The organization's conflict of interest policy applies to all board members and employees. All new hires are required to complete a conflict of interest form. Existing staff must take essential learning classes and comply with professional standards for carf accreditation. Any possible conflicts of interest that arise are reported immediately tot eh employee's supervisor, the human resources department and/or the corporate compliance & privacy officer for review. The board of directors review the conflict of interest policy and complete a conflict of interest disclosure form upon joining the board and annually thereafter. Any new conflicts of interest are required to be promptly disclosed in writing. The board must avoid entering into transactions involving a conflict of interest unless (a) no reasonable alternatives are available and (b) the board determines that the conflicted transaction is in the organization's best interests; and (c) the transaction is approved by at least two-thirds of the non-conflicted board members. Such discussions and votes are recorded in the meeting minutes.

Form 990, Part VI, Section B, Line 15A

The board of directors evaluates the ceo's performance annually. The board sets the position level, pay range and specific components of the total compensation package for the ceo. Other officers or key employees fall in line with all staff, receiving semiannual performance reviews. Compensation is standardized based on direct care and administrative salary ranges. The human resource (hr) department researches local nonprofit salary surveys annually and used a compensation consultant in 2023, creating salary ranges based on the skills, knowledge and behaviors required for the position, and ensures that ranges are competitive with similar organizations. Shared leadership is responsible for reviewing recommendations made by hr and will give final approval for the salary ranges to be used for each position. On an annual basis, shared leadership will review and approve, as appropriate, recommended changes to position range movement as recommended by hr and as determined through the market analysis process. As part of the annual budgeting process, shared operational leadership will review and approve, as appropriate, funds to be allocated for total compensation, which would include base salaries, bonuses, incentive based pay and all other related expenses, including benefit plans as recommended by hr.

Financial statements are included in the annual report on the organization's website. The conflict of interest policy is made available to the public upon request and is made available to all staff on the valle del sol intranet under agency policies. Each staff receives a written copy, signs the copy and a copy of the policy is included in the employee handbook. The code of conduct is available at each reception desk for the public to request as well as on the valle del sol intranet. The governing documents are currently made available to the public upon request.

Financial Statement Notes

PART X, LINE 2:

Valle del sol (vds) is organized as an arizona nonprofit corporation and has been recognized by the internal revenue service (irs) as exempt from federal income taxes under section 501(a) of the internal revenue code (irc) as an organization described in section 501(c)(3). Vds has been determined not to be a private foundation under section 509(a)(1). Vds is required to file a return of organization exempt from income tax (form 990) with the irs annually. In addition, the entity is subject to income tax on net income that is derived from business activities that are unrelated to their exempt purposes. Management believes that the entity has appropriate support for any tax positions taken affecting its annual filing requirements and, as such, does not have any uncertain tax positions that are material to the consolidated financial statements. Vds will recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interests and penalties are incurred.
