“Each Officer or Director of the organization is required to read, review, and sign a conflict of interest statement annually. Our Audit Committee reviews all significant transactions and questions whether any such transaction violates the conflict of interest policy.”

“For any significant paid position at HelpBerkeley, the Audit Committee minus the person who hold the position is responsible for 1) identifying a source of reliable compensation data for the position and acquiring the data 2) identifying a compensation advisor who has knowledge appropriate to the position and retaining their services before finalizing a compensation agreement 3)obtaining their written position and compensation recommendation. The full board (minus the person under consideration for the position if they are on the board) votes on the compensation agreement. The compensation agreement, advisor recommendation and compensation vote are recorded in the meeting minutes. In 2025, there were no full time hires.”

“Full Text of Mission Statement: HelpBerkeley delivers affordable, free, and subsidized meals, and groceries to seniors and others vulnerable to COVID-19 in Berkeley and several neighboring cities. It also provides wellness, nutrition, social and other services to underserved businesses and communities in the City of Berkeley and in other communities. In 2025 the board voted to include fire safety and resiliency as one of our goals as it is critical to the City of Berkeley in areas of very high fire danger.”

“In 2025, HelpBerkeley added fire safety and resiliency as an area of focus. We applied for and received two University of California Chancellors Grants to support clearing of flammable materials in the first 5 feet around homes in the Grizzly Peak Mitigation are in Berkeley, CA. We made no expenditures against those grants in 2025, but have planned activities to do so in 2026 and beyond. We also started a new website, BerkeleyFirewise.org to educate the community about fire danger and fire resiliency.”
