“The BoD has delegated broad authority to the Executive Committee to carry on the business of the organization in between meetings of the Board. The Executive Committee is made up of the Executive Director and all Board officers.”

“Prior to submission Form 990 was emailed to all RESTORE HOPE Board members; members were asked to submit their questions by email. The Form 990 was then reviewed discussed and approved by email.”

“All officers directors key employees and other Covered Persons receive a copy of the RESTORE HOPE Conflict of Interest Policy and each is required to acknowledge receipt and understanding of the Policy and agree to abide by the Policy. Annually each Covered Person is required to review the Policy and report any new actual or potential conflicts of interest as outlined by the Policy: "Each Covered Person shall sign a Conflict of Interest report at the start of the fiscal year or when they join the board if mid-year and report annually any changes to his her business and charitable affiliations to the Board Chair. Every new member of the Board will be advised of this policy upon entering the duties of his or her office and shall sign a statement acknowledging understanding of and agreement to this policy. This list will be maintained in the corporate records of RESTORE HOPE and considered a matter of public record and will be available for review upon request by the public." “Executive Director and other top management officers and key employees: The Executive Committee will obtain research and information to make a recommendation to the full board for the compensation pay and benefits of the Executive Director and other highly compensated employees or consultants based on a review of comparability data. To approve the compensation for the Executive Director and other highly compensated employees and consultants the board must document how it reached its decisions including the data on which it relied in minutes of the meeting during which the compensation was approved. For example the Executive Committee will secure data that documents compensation levels and benefits for similarly qualified individuals in comparable positions at similar organizations. This data may include the following: Salary and benefit compensation studies by independent sources; Written job offers for positions at similar organizations; Documented telephone calls about similar positions at both nonprofit and for-profit organizations; and Information obtained from the IRS Form 990 filings of similar organizations. Concurrent Documentation: During the process of board approval documentation is needed and must include: A description of the compensation and benefits and the date it was approved; The members of the board who were present during the discussion about compensation and benefits and the results of the vote; A description of the comparability data relied upon and how the data was obtained; and Any actions taken such as abstaining from discussion and vote with respect to consideration of the compensation by anyone who is otherwise a member of the board but who had a conflict of interest with respect to the decision on the compensation and benefits.”
