“The form 990 was emailed to the entire organization before submission. In the lead-up to submission, organizational budgets, financial statements, bank account transactions, and new projects were examined and approved by the board. These reviews occurred every 2 months at least.”

“We have followed the below conflict of interest policy during all our board of directors meetings of 2023. Below is an excerpt from our bylaws. 3.3 Procedures for Addressing the Conflict of Interest (a) An interested person(s) may make a presentation at the governing board or committee meeting, but after the presentation, they shall leave the meeting during the discussion of, and the vote on the transaction or arrangement involving the possible conflict of interest. (b) The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. (c) After exercising due diligence, the governing board or committee shall determine whether the corporation can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. (d) If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall find another solution which enables them to NOT take the money from someone who presents a conflict of interest. 3.4 Violations of the Conflicts of Interest Policy (a) If the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. (b) If, after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action up to and including termination.”

“The appointment of Board President, Augustin (Tino) Fragale, to Co-Executive Director with existing Executive Director Mady Nadje was reviewed and approved by five independent board directors and data from existing staff salaries and wages was used to make Tino's wage determination. Tino followed conflict of interest policy and was not allowed to vote on his salary and he was required to leave the meeting while the discussion of his wages happened between independent board directors. Tino's salary was pegged to Mady's salary at $65,000. Generally, both their salaries are lower than nonprofit Executive Director's who do draw salaries in Montgomery County, Maryland.”

“For the Community Needs Assessment with the Montgomery County Collaboration Council for Children, Youth, and Families we hired contractors to interpret in Spanish, Amharic, and American Sign Language. Additionally, we hired event assistants to support children who would come to cohort meetings with their parents.”
