If it is determined that a conflict exists or that there is an appearance of a conflict, the transaction may be approved only upon a vote of a majority of the disinterested members of the intermediate sanctions and conflicts of interest committee, or, if there are no disinterested committee members, by unanimous vote of the committee members. The covered person may be present for the discussion in order to respond to questions and elaborate on the information presented. Upon request of the disinterested committee members, the covered person will be required to excuse himself or herself from the vote on the transaction. In any event, the covered person, if a member of the intermediate sanctions and conflicts of interest committee, will abstain from voting on the transaction except insofar as the policy requires a unanimous vote.”

“The following initiatives span scientific research, media, education & engagement initiatives to further our collective scientific and educational understanding, engagement and protection of the oceans: yep: the young explorer's program is an educational program intended to expose students with an interest in the oceans to scientific exploration, science communications and vessel operations. The program has an emphasis on students and educators from underrepresented groups. The program includes three components: 1) oceanographic and marine biological studies; 2) science communications including short and long form visual media; and 3) ship operations including functions of various crew departments. Red sea decade expedition: in 2022, oref completed an expedition with the national center for wildlife (ncw) whose mission is to develop and implement plans to address the threats to terrestrial and marine wildlife with the aim of restoring the ecological balance of natural ecosystems. Oref, ncw and scientists from a local university spent february through june 2022 completing an unprecedented four-leg research expedition that covered 1,000-miles of the red sea. The expedition studied the biodiversity found in both the shallow and deep water of the red sea, and to understand why coral systems there are more resilient to bleaching than anywhere else in the world. Oceanxplorers series: the oceanxplorers series is a collaboration with scientific and media organizations to create a six-episode series with additional ancillary educational and outreach activities. The series is focused on the scientific exploration of the ocean, and profiles scientists who engage in oceanographic research and exploration. The series aims to engage audiences globally on the importance of understanding, appreciating, and protecting the oceans. Exploration, research, filming, and production was carried out in three locations: bahamas / dominican republic, the azores and svalbard near the north pole. Refit: the oceanxplorer, one of the most advanced scientific exploration vessels underwent major upgrades to its scientific, media and operational capabilities. A significant investment was made to enhance the vessel's technical capabilities including edna capabilities, sonar upgrades, tender build and additions to science and media labs. Crayola experience: oref launched a collaboration with crayola on an immersive traveling experience to help educate, engage, and inspire thousands of students on the importance of ocean exploration and protection. Through this collaboration, oref worked with crayola to re-theme various traveling experiences to include ocean topics. These themes were incorporated into various crayola experience locations and included exploration through submarine pods, oceanographic research & exploration, corals, and giant squid education. The aim of this effort was to educate and engage attendees about the value and importance of the oceans, in furtherance of oref's social welfare purpose. Gulf of aqaba expedition: in 2022, oref sponsored an expedition to study some of the world's most productive and resilient coral reef systems and most interesting scientific geological features in the gulf of aqaba. The focus of the expedition was to better understand the biodiversity found in the deep water of the gulf of aqaba, and to understand why coral systems here are more resilient to climate change than anywhere else in the world. Furthermore, this multidisciplinary expedition is going to help serve as a baseline of valuable information for researchers and environmental managers to best plan conservation areas and targets for the future of a healthy gulf of aqaba.”
