Part VI, Ln 7B & 8B - Governance & Management

The foundation officer meetings throughout the year were documented and approved by the governing body (i.e., all the officers). The foundation has no other members, committees or other persons as part of their governing body that participate in the meetings or approval process of the foundation's functions or activities. The governing body, i.e. the officer make 100% of the decisions of the foundation acting together as one body. No officer acts independently of the others. All decisions have to be unanimous among the officers.

All information regarding the Kailee Mills Foundation is available for Public Inspection by contacting David Mills, President in writing at the foundation's address of record.

Part VI, Sec. B, Ln 11B - Review of tax return

Before filing the return all officers of the foundation will have a copy of the return for review. A very detailed review of the return will be conducted by the President and Treasurer as they have the most knowledge of the financial situation of the foundation before the return is filed.

Part VI, Sec. B, Ln 15B - Compensation Process

The officers of the foundation are not compensated at this time. The governing documents state the officers are to follow the general rules for nonprofits in determining the compensation of its officers, at such time the officers unanimously agree to compensation. Those rules would allow for fair compensation based on the market for a qualified person serving in the capacity of an officer of a foundation.
