“The organization hired disruptive noise to manage the administration and programs, including having rob seaver, a family member of disruptive noises owner, act as the executive director. Mr. Seaver was paid 60,000 by disruptive noise for the services performed for the organization.”

“The organization has charter members platinum, industry members gold, and associate members silver.”

“Charter members and industry members may vote on matters requested by the board of directors. Annually, these two memberships may vote for a director. Officers are voted in by the board of directors. Associate members are not allowed to vote. The bylaws are being modified in 2020 which will remove the power of these members from appointing directors of the governing body.”

“Bylaws may be altered, amended, or repealed by approval of three fourths 3/4 of the voting members. The bylaws will be modified in 2020.”

The board will be adopting a formal written policy on compensation in 2020 prior to the filing of the 2019 return.”
