Governance Explanations

Form 990, Part VI, Section A, line 1

The Board of Directors has, by resolution adopted by a majority of the directors then in office, designated two (2) or more directors of the Corporation to constitute an Executive Committee which, to the extent provided in the resolution and consistent with applicable law, shall have and exercise all of the authority of the Board of Directors in the management of the Corporation's affairs during intervals between the meetings of the Board of Directors. The Chairman, by virtue of his or her position, shall serve as a member of the Executive Committee. The Executive Committee shall be subject to the authority and supervision of the Board of Directors.

Form 990, Part VI, Section B, line 11B

Form 990 is prepared by an independent CPA firm and reviewed in detail by the organization's top management. The reviewed Form 990 is then provided to the board of directors prior to filing with the IRS.

Form 990, Part VI, Section B, line 12C

The organization requires all officers and board members to annually complete and sign a conflict of interest questionnaire. The Board Chairman is responsible for reviewing the signed statements and ensuring that interested persons are in compliance with the conflict of interest policy. Should any potential conflicts of interest be disclosed, the board member or officer would be asked to refrain from participation in any deliberation or decision with regard to matters affected by the relationship.

Additional Explanations

Form 990, Part V, Line 2A:

The Executive Director is compensated by an unrelated organization, Reliant Ministries. Reliant Ministries files all required payroll information returns as required by the IRS. As such, due to common paymaster rules as instructed by the IRS, the number of employees reported represent the number of employees who work for the filing organization but are compensated by an unrelated organization. GCC Foundation reimburses Reliant Ministries in full for the Executive Director's compensation and the reimbursements are reported on 990, Part VII, Section A and 990, Part IX, Line 5.

Form 990, Part XII, Line 1:

The Foundation prepares its financial statements using the modified cash basis of accounting. Under the modified cash basis of accounting, contributions and revenues are reported when received rather than when earned, and expenses are reported when paid rather than when the obligation is incurred.

Form 990, Part XII, Line 2C:

The organization's Board assumes responsibility for oversight of the compilation of its financial statements and selection of its independent accountants. This process has not changed since the prior year.
