“Substantive bylaws items: 1.allows nominating committee to renominate a current president to serve as president beyond his or her two-year term limit if the fair and rodeo does not occur during that president's current term. The nominating committee is not obligated to renominate the current president to serve again as president and the board is not obligated to elect the nominating committee selection as president at the may election. 2.provides that one-tenth of directors may call a special meeting of the board, in addition to the president or executive committee. 3.elections savings clause - the current savings clause expires june 1, 2021. A new clause is proposed that says the board, and only the board, shall determine whether the may elections can be conducted as required according to the bylaws. Members are proposed by nominating committee and approved by the board. Advisory directors are not part of the directors class. 5.clarifies that a quorum of 25% for any meeting be established by persons present in person or by proxy. Requirement to vote in person while physically present for the board, officers and elected executive committee members, however, is retained. 6.provides express authorization that meetings may be held by teleconference or internet technology. Voting may also occur as long as participants are verified, and records are kept.
