For new board members, the policy is presented and discussed during their orientation briefing. After review, all board members sign and submit to the president a certification of compliance with the policy, noting any potential conflicts they may have, if any. During committee meetings, board members are asked to identify any potential conflicts of interest if they arise and those are dealt with by the committee chairman at that time. “The board chairman is annually provided with a compensation history for the president/ceo. He/she is also provided with a performance evaluation form to complete for the ceo as well as the most recent salary comparability data available from independent sources, like the council on foundations. These documents are used by the chairman to review the president/ceo's performance with the executive committee (in executive session) and to determine a compensation amount for the ceo for the upcoming budget year. If an increase in salary is suggested, it is brought before the full board of directors (in executive session) for discussion and approval.”
