Governance Explanations

Form 990, Part VI, Section A, line 1A

The Corporation shall have an Executive Committee, which is a Board committee, consisting of the Board Chair, Board Vice Chair, Board Finance Chair, Board HR Chair and President/CEO. The Board Chair shall chair the Executive Committee. Subject to limitations applicable to committees, generally, and as set forth in Section 4.21 of these Bylaws, the Executive Committee shall have full authority to exercise all the powers of the Board between meetings. However, all action taken by the Executive Committee shall be reported to the Board as soon as practicable, or at the first meeting subsequent to that action.

Form 990, Part VI, Section A, line 4

On May 19, 2022, the boards of directors of Hope Media Group and Way Media, Inc. a Tennessee nonprofit organization, finalized the merger of the two organizations to create a new entity effective May 20, 2022, continuing under the name Hope Media Group. Articles of Merger and restated and amended bylaws were filed. Directors and officers were newly appointed to Hope Media Group on the date of merger per the merger agreement. A new schedule of initial director terms was approved and implemented by the Board to stagger terms; upon completion of the initial director terms, terms are to be for three years. Post-merger the President/CEO became a voting member of the Board.

Form 990, Part VI, Section B, line 11B

The Form 990 is prepared by an independent CPA firm. Upon completion, the return is reviewed by the VP of Accounting, CFO and then the CEO. Once an internal draft is finalized, an email with a pdf copy of the return is sent to the board for review. Once approved, the form is prepared for signature and electronic filing with the Internal Revenue Service.

Form 990, Part VI, Section B, line 12C

The board members and officers of the organization are required to annually complete a commitment form that includes a statement of conflict of interest. In addition, board members and officers are required to annually complete a conflict of interest/related party questionnaire. The accounting department staff continually monitor vendors for compliance with the conflict of interest/related party policy. Should a conflict of interest exist, interested parties are required to recuse themselves from the decision-making process and subsequent vote.

The process for determining the compensation of the organization's President/CEO involves comparative salary surveys and is contingent on budget considerations. An independent compensation consultant is engaged for further input, and Forms 990 from similar organizations are analyzed. Recommendations are made by the HR committee and compensation packages are approved by a compensation committee, consisting of independent members of the board of directors. On May 19, 2022, the boards of directors of Hope Media Group and Way Media, Inc. a Tennessee nonprofit organization, finalized the merger of two organizations to create a new entity, effective May 20, 2022. The merged organization retained the name Hope Media Group. The merger combines each organization's rich 35+ year heritage to better serve an audience of more than 4 million individuals worldwide with positive multimedia content over both radio and digital. By aligning their efforts to create and share uplifting content, their newly merged media brands continue to be a beacon of hope for all. The merger realizes a vision of integrating the best of respective ministries to enhance their impact for the cause of Christ.

The financial statement effects of a tax position taken or expected to be taken are recognized in the financial statements when it is more likely than not, based on the technical merits, that the position will be sustained upon examination. Interest and penalties, if any, are included in expenses in the statement of activities. As of June 30, 2022, HMG had no uncertain tax positions that qualify for the recognition or disclosure in the financial statements.

As the voice of Hope, we raise awareness, rally support, and connect people with local ministries and charitable organizations. In the past year, we collected over $30K in gift cards to benefit families experiencing crisis pregnancy while raising awareness for 15 centers through CARENET's pregnancy help centers. For the third year, we have honored outstanding community champions who were nominated by our listeners in (3) categories including: an outstanding individual, a non-profit and a business. Winners were honored with a concert, reception and a commemorative award. (continued on Sch O)Through our annual blood drive, our listeners donated 2,146 units of blood which will save 6,438 lives. Throughout the year we engaged with 30 plus leading influencers in our city through our President's Council to ensure we remain connected to our communities throughout the Greater Houston area. And finally, we host a weekly radio program called "Community Beat" helping to raise awareness for various issues, resources and organizations that are helping our communities thrive. KSBJ went on the air in 1982 and has grown into one of the most listened to radio stations in Houston. in January 2023, KSBJ was the second highest rated radio station in Houston with women 25-54 with a 9.8 share! Overall, KSBJ ranked third in Houston 6+, with a 6.0 share this winter and consistently has over 700,000 listeners every week on the radio. Vida Unida launched in 2021 and is a family-oriented radio network influenced by Hispanic culture with inspirational Christian music and media in Spanish. Vida Unida broadcasts in Miami & Houston. Over 127,000 people listen to Vida Unida every month.WayFm is a network of listener supported Christian radio stations across the country. You'll hear uplifting music and genuinely laugh along with the DJ's. We play positive hip hip and pop and tackle important topics head-on, because life is too short to not be real.Hope On Demand is a hub for videos, podcasts and blogs, to help connect you to love Jesus, server others, and spread Hope.Special Events spreads the gospel of Jesus Christ by producing Biblically based concerts and gatherings throughout the country.Amen: The Prayer App connects people with others, making prayer timely, interctive, and tangible. When someone prays for a request, they share hope, support and encouragement.World's Biggest Small Group: Three times annually, HMG provides The World's Biggest Small Group. This devotional appears online, with support information on air, via social media and podcasts. This feature, centering around a biblical theme, includes daily devotional message by well-known personalities to help our content users grow in their faith. Well over 50,000 participants join this program each time it is offered.Word on the Way: HMG offers a daily scripture to email subscribers who request it.
