Governance Explanations

Form 990, Part VI, Section B, Line 11B

The president and ceo, along with designated senior staff, review the form 990 before it is signed and filed. Any questions related to its contents are resolved before filing.

Form 990, Part VI, Section B, Line 12C

All board members are required to sign a conflict of interest statement about any and all possible conflicts of interest on an annual basis. The ceo monitors compliance. All possible conflicts of interest of directors, officers and key employees are brought to the attention of the ceo to explore and report to the board if the conflict merits further investigation or action. Paid officers and staff sign upon being hired.

Form 990, Part VI, Section B, Line 15A

Compensation process for top officials: the board sets the president and ceo's compensation and is guided by periodic sector-wide compensation studies which reflect industry norms and standards. The last time a review with compensation comparabitly data was done was june 2019. Compensation process for other officers and key employees: the board's compensation committee makes recommendations regarding compensation levels for other officers in consultation with the president and ceo using sector-wide compensation studies which reflect industry norms and standards. Those recommendations are then reviewed, amended as needed, and then adopted by the board. Compensation for key employees is set by the president and ceo in keeping with industry standards for the sector in general and think tanks in particular. The process was last undertaken in june 2019.
