“Certain of the organization's officers and board members have an ownership interest in a film produced by a production company, which is owned by one of the organizations officers and an employee. Under an agreement with this production company, the organization is entitled to receive theatrical related revenue generated from certain screenings of said film.”

The disinterested members of the board will consider whether the terms of the action are fair and reasonable to the organization. 3. All disinterested members of the board will approve the action by vote of a majority of the directors in attendance at a meeting at which a quorum is present. An interested party may be counted for purposes of determining a quorum, but will not be counted for purposes of determining a majority vote. 4. The minutes of the meeting will reflect that the conflict disclosure was made, the vote taken and where applicable the abstention from voting participation by the interested party.”

The president and ceo sets the wages and is responsible for annual performance reviews for other officers or key employees. The board oversees the process.
