Form 990, Part VI, Line 11B: Form 990 Review Process

The 990 draft is reviewed first by staff and the Finance Committee. Once changes (if any) are completed, the draft is approved by the Board of Directors either upon review at a Board Meeting or via email.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

There is a standing line item on the monthly Board of Directors agenda in which the Board Chair asks at the beginning of the meeting if there are any conflicts of interest on any agenda item.

Form 990, Part VI, Line 15A: Compensation Review & Approval Process - CEO, Top Management

The annual process for determining compensation is as follows: The Chair of the Board of Directors shall annually evaluate the Executive Director on his performance, and ask for his input on matters of performance and compensation. The compensation will be set once every three years.Board Approval. The Compensation Committee will obtain research and information to make a recommendation to the full board for the compensation (salary and benefits) of the Executive Director (and other highly compensated employees or consultants) based on a review of comparability data. For example, the Compensation Committee will secure data that documents compensation levels and benefits for similarly qualified individuals in comparable positions at similar organizations. This data may include the following:1.Salary and benefit compensation studies by independent sources;2.Written job offers for positions at similar organizations;3.Documented telephone calls about similar positions at both nonprofit and for-profit organizations; and4.Information obtained from the IRS Form 990 filings of similar organizations.Concurrent Documentation. To approve the compensation for the Executive Director (and other highly compensated employees and consultants) the Board must document how it reached its decisions, including the data on which it relied, in minutes of the meeting during which the compensation was approved. Documentation will include:a) A description of the compensation and benefits and the date it was approved; b) The members of the Board who were present during the discussion about compensation and benefits, and the results of the vote; c)A description of the comparability data relied upon and how the data was obtained; and d)Any actions taken (such as abstaining from discussion and vote) with respect to consideration of the compensation by anyone who is otherwise a member of the board but who had a conflict of interest with respect to the decision on the compensation and benefits.Independence in Setting Compensation: The Chair of the Board of Directors, who is a volunteer and not compensated by the Nonprofit, will operate independently without undue influence from the Executive Director. No member of the Compensation Committee will be a staff member, the relative of a staff member, or have any relationship with staff that could present a conflict of interest.

Part X : FIN48 Footnote

LandPaths is exempt from Federal and State Income taxes under Internal Revenue Code Section 501(c)(3) and California Franchise Tax Board Code Section 23701d. Therefore, no provision for income taxes has been made in the accompanying financial statements. In addition, the Internal Revenue Service has determined LandPaths is not a private foundation within the meaning of Section 509(a) of the Internal Revenue Code.Management of LandPaths considers the likelihood of changes by taxing authorities in its filed tax returns and recognizes a liability for or discloses potential significant changes if management believes it is more likely than not for a change to occur, including changes to LandPaths status as a not-for-profit entity. Management believes LandPaths met the requirements to maintain its tax-exempt status and has no income subject to unrelated business income tax; therefore no provision for income taxes has been provided in these financial statements. LandPaths tax returns for the past three years are subject to examination by tax authorities, and may change upon examination.

Together with the City of Santa Rosa, LandPaths operates an innovative farm-based park, Bayer Neighborhood Park and Gardens. LandPaths owns and manages an additional 2,000 acres of Sonoma County land, including the 48-acre "Grove of Old Trees," one of the only privately held, publicly accessible parks in California, and Rancho Mark West, a historic ranch located along Mark West Creek, an important salmonid-bearing tributary to the Russian River; Riddell Preserve, 400 acres of rolling hills and oak and madrone woodlands, and Ocean Song and Bohemia Ecological Preserves outside Occidental, a combined 950 acres including rare and endangered plants associated with serpentine soils. These sites serve as anchor properties for our outdoor education programs and provide opportunities to bring the community together, balancing conservation efforts, public access, education and land stewardship.

All of these are interactive, field-based programs with multiple full-day field trips and high mentor/student ratios, and seek to engage underserved youth. In Our Own Back Yard school participation criteria include eligibility for the federal free and reduced priced meals program. Inspired Forward partners with gang prevention organizations to support local teens. And at least 1/3 of summer campers attend on scholarship. In total, these programs serve approximately 1,080 youth annually, logging over 23,000 student hours outdoors.

At its core, this initiative expands who is engaged with conservation and what conservation looks like. For instance, our free daytrips, or Outings, offer broadly themed outdoor events and activities, from growing food at our farm-based park to star gazing parties at a remote historic ranch. LandPaths' Spanish language Vamos Afuera program ensures these outings are available to a broader audience. Our place-based community gardens further engage and urban and primarily low-income community with culturally and linguistically relevant programming located close to home, engaging people in enjoying and tending to the gardens.

In addition, the Internal Revenue Service has determined LandPaths is not a private foundation within the meaning of Section 509(a) of the Internal Revenue Code.Management of LandPaths considers the likelihood of changes by taxing authorities in its filed tax returns and recognizes a liability for or discloses potential significant changes if management believes it is more likely than not for a change to occur, including changes to LandPaths status as a not-for-profit entity. Management believes LandPaths met the requirements to maintain its tax-exempt status and has no income subject to unrelated business income tax; therefore no provision for income taxes has been provided in these financial statements. LandPaths tax returns for the past three years are subject to examination by tax authorities, and may change upon examination.

The compensation will be set once every three years.Board Approval. The Compensation Committee will obtain research and information to make a recommendation to the full board for the compensation (salary and benefits) of the Executive Director (and other highly compensated employees or consultants) based on a review of comparability data. For example, the Compensation Committee will secure data that documents compensation levels and benefits for similarly qualified individuals in comparable positions at similar organizations. This data may include the following:1.Salary and benefit compensation studies by independent sources;2.Written job offers for positions at similar organizations;3.Documented telephone calls about similar positions at both nonprofit and for-profit organizations; and4.Information obtained from the IRS Form 990 filings of similar organizations.Concurrent Documentation. To approve the compensation for the Executive Director (and other highly compensated employees and consultants) the Board must document how it reached its decisions, including the data on which it relied, in minutes of the meeting during which the compensation was approved. Documentation will include:a) A description of the compensation and benefits and the date it was approved; b) The members of the Board who were present during the discussion about compensation and benefits, and the results of the vote; c)A description of the comparability data relied upon and how the data was obtained; and d)Any actions taken (such as abstaining from discussion and vote) with respect to consideration of the compensation by anyone who is otherwise a member of the board but who had a conflict of interest with respect to the decision on the compensation and benefits.Independence in Setting Compensation: The Chair of the Board of Directors, who is a volunteer and not compensated by the Nonprofit, will operate independently without undue influence from the Executive Director.
