Governance Explanations

Form 990, Page 6, Part VI, Line 4

The foundation's bylaws were revised 5/21/2020. Changes include 1) addition of up to 2 student board members, 2) addition of voting rights for past teacher of the year position, 3) establishment of emeritus member category (non-voting), and 4) change to definition of expected financial contributions of members.

Form 990, Page 6, Part VI, Line 7B

Per state statute, the board of directors of the organization is approved by the district school board.

Form 990, Page 6, Part VI, Line 11B

A copy of the form 990 is provided to all board members prior to filing. The draft form 990 is reviewed by the treasurer, the president and the director of accounting/comptroller at a finance committee meeting with the return preparer and approved before filing.

Form 990, Page 6, Part VI, Line 12C

Any violations of the conflict of interest policy are handled by the executive committee of the board of directors.

Form 990, Page 6, Part VI, Line 15A

This past year, the board of directors only approved cost of living adjustments for the president and all staff members. As needed, the finance committee conducts a pay comparability study using the central florida nonprofit compensation and benefits report as a basis with the board's strategic goal of compensating the president and all staff members at no less than the 75th percentile. Approval of the salaries was included in the finance committee discussion of the budget, which was approved by the board of directors.

Form 990, Page 6, Part VI, Line 15B

The process described above for compensation of the president also included consideration of the compensation for all other staff positions.

Form 990, Page 6, Part VI, Line 19

The foundation's organizing documents, conflict of interest policy and financial statements are available to the public at its office upon request.

Form 990, Part VII

Bsf has 3 ex-officio members of the board of directors, without voting privileges. At june 30, 2020, they were: mark mullins, superintendent of brevard public schools, cheryl mcdougall, school board liaison, and shannon kraeling, teacher of the year.
