Governance Explanations

Form 990, Page 6, Part VI, Line 4

Bylaws were revised in august 2016 to: 1) reduce the maximum number of board members, 2) increase the quorum from one-third to a majority of the membership, 3) change the title of executive director to president as well as officer titles to chairman, etc, 4) add finance and development committees with descriptions, and 5) add a section to reflect adherence to florida law.

Form 990, Page 6, Part VI, Line 7B

Per state statute, the board of directors of the organization is approved by the district school board.

Form 990, Page 6, Part VI, Line 11B

A draft of the form 990 is provided to all board members prior to filing. The draft form 990 is reviewed by the treasurer, the president and the accountant at a finance committee meeting with the return preparer and approved before filing.

Form 990, Page 6, Part VI, Line 12C

Any violations of the conflict of interest policy are handled by the executive committee of the board of directors.

Form 990, Page 6, Part VI, Line 15A

This past year, the board of directors only approved cost of living adjustments for the president and all staff members. As needed, the finance committee conducts a pay comparability study using the central florida nonprofit compensation and benefits report as a basis with the board's strategic goal of compensating the president and all staff members at no less than the 75th percentile. Approval of the salaries was included in the finance committee discussion of the budget, which was approved by the board of directors.

Form 990, Page 6, Part VI, Line 15B

The process described above for compensation of the president also included consideration of the compensation for all other staff positions.

Form 990, Page 6, Part VI, Line 19

The foundation's organizing documents, conflict of interest policy and financial statements are available to the public at its office.

At the annual back to school giveaway event, approximately 1,700 low-income students received 78,000 worth of school supplies, backpacks, books, and hot lunches. The supply zone also celebrated the milestone of distributing 1 million worth of free school supplies. The supply zone is an affiliate of the kids in need foundation and received from them 677,431 worth of donated school supplies during this fiscal year.

Form 990, Page 2, Part III, Line 4D

Classroom study grants - 48 awarded classroom grants are awarded each semester in a competitive application process to support strategic initiatives and programs in support of improving student achievement and teaching quality. Classroom awards up to 500 or grade-level/schoolwide awards up to 1,500 encourage teachers to bring their innovative and creative projects to the classroom in areas of need where school budgets fall short or tax dollars cannot be used. The classroom grant program engages communities, allowing donors the opportunity to support the focus area that best matches their interest.
