The executive committee is comprised of the chairs of the organization's committees. The executive committee, per the bylaws, can act on behalf of the full board.

The cfo reviews the prepared return for accuracy against the audited financials and the general ledger. The ceo then reviews the draft approved by the cfo. Once the ceo has approved the return the draft is submitted to the finance/audit committee of the board. The draft is then submitted to the board for review before the return is filed with the irs.

The organization's policy states that "any employee who discovers an event of questionable, fraudulent or illegal nature should immediately report such event to the ceo or human resources. The company will protect employees who report in good faith what they reasonably believe to be a violation of state and federal law or conditions or practices that would put the health or safety of employees at risk. No employee will be discharged, threatened or discriminated against in any manner for reporting what they perceive as wrongdoing. All members of the board of directors are required to document conflicts, if any, annually in writing"

In 2018 a compensation study was prepared by willis towers watson for the organization's staff and fw cook completed the senior leadership study. This compensation study was based on norms and other relevant data for each such position. Ceo compensation was researched by an independent consultant in 2018, and this information was used for contract negotiations for the fiscal year starting 7/1/2018 and is still in place.

Part IIII, Line 1

Artis-naples is unique among cultural institutions nationwide, dedicated to creating and presenting world-class visual and performing arts. We inspire, educate and entertain to enrich our diverse community. Artis-naples, home of the baker museum and the naples philharmonic, typically hosts more than 800 concerts, performances, exhibitions and educational events for children and adults from all backgrounds each year. These events, both paid and free, take place in venues across our 8.5-acre kimberly k. Querrey and louis a. Simpson cultural campus and throughout the greater community. In august 2020, due to the covid-19 pandemic, artis-naples began the process of reopening with a "reimagined season" with enhanced cleaning, new air filtrations systems and safety protocols in place for the safety of musicians, staff, visiting artists, audiences and our community at large. The baker museum opened in august for small group tours for friends of artis-naples and community first responders. In october 2020, the naples philharmonic sypert salon series and wang chamber music series resumed performances in hayes hall, with audience members seated on stage, socially distanced and masked. The naples philharmonic jazz orchestra also resumed concerts in october, with the same protocols, and reduced audience capacity of 25%, seated socially distanced in hayes hall. In a hybrid format of in-person, outdoor and virtual screenings, the 12th naples international film festival launched late-october with the comfort of established safety protocols including face masks and forehead temperature scans. In november, the baker museum and the newly completed museum expansion opened to the public, with timed-entry tickets, reduced capacity and established safety protocols. In spring 2021, the naples philharmonic added several classical and pops performances with socially distanced audiences seated in hayes hall. Additional programming in spring 2021 included presentations and lifelong learning lectures. Artis-naples provides an array of opportunities for the novice or seasoned cultural patron to engage with the arts. This inclusive approach, under the guidance of ceo and president kathleen van bergen and music director andrey boreyko, ranges from single performances to season-long, multi-disciplinary experiences and exhibitions, united by a singular theme or idea. From classical to jazz, from ballet to broadway musicals, artis-naples creates or presents a variety of offerings and genres, including orchestra, dance, chamber music, exhibitions, presentations, educational lectures, master classes and social events. In 2017, artis-naples welcomed the naples international film festival ("niff") into its multi-disciplinary mission; niff celebrated its 12th anniversary in 2020, and in 2019 was named to the moviemaker magazine "top 25 coolest festivals in the world" list. Typically, our cultural campus welcomes over 300,000 visitors each year and is currently comprised of two performance halls (frances pew hayes hall and myra j. Daniels pavilion), the baker museum, the toni stabile education building and kohan administration building. The baker museum expansion, completed in fall 2020, opened to the public in november as part of the museum's 20th anniversary season celebration.

Part IIII, Line 4A

The naples philharmonic has long been recognized as one of the cornerstones of southwest florida's arts community. In the 2014-15 season, andrey boreyko assumed the title of music director and continues to serve in this capacity for artis-naples. Boreyko is internationally recognized as one of the most exciting and dynamic conductors working today. This appointment, which concludes in 2022, marks his first american post. The naples philharmonic typically performs over 140 orchestral and chamber music concerts, as well as opera and ballet, education, community and special event concerts annually between september and june in the 1477-seat hayes hall, the 283-seat daniels pavilion and around southwest florida. The naples philharmonic was founded in 1982 as the naples-marco philharmonic and, in its first season, performed four concerts as a chamber orchestra. In 1989, the then-philharmonic center for the arts opened as the home of the naples philharmonic, and since then, the ensemble has grown in scope, size and artistic impact. Highlights of the 2020-21 orchestral season included violinist james ehnes playing and leading the naples philharmonic in a performance of mendelssohn's violin concerto, naples philharmonic assistant principal/second trumpet ansel norris performing haydn's trumpet concerto and violinist nancy zhou performing mozart's violin concerto no. 5. Principal pops conductor jack everly also returned for three programs with the naples philharmonic.

Part IIII, Line 4B

Artis-naples typically hosts a robust education and presenting season. The 800-plus events and offerings typically include touring broadway shows (suspended during the covid-19 pandemic), a tremendous set of visiting orchestras, fantastic education and lifelong learning programs, as well as performers from the worlds of comedy, pop, theatre and dance. With an 8.5-acre cultural campus, two performance halls, a museum and a variety of spaces for learning and social engagement, artis-naples presents a broad range of multi-disciplinary programming to match the growing population and interests in southwest florida. Highlights of the abbreviated 2020-21 performance season included a variety of performers including the pettybreakers, jersey boys and girls and the hit men. Education programming, which typically includes annual interactions with every collier county public school in the visual or performing arts, continued during the pandemic with virtual art-smart live. This programming helped keep students and teachers connected to an arts curriculum, both in classrooms and for those students learning from home. Adult education continued with three lifelong learning lectures. And, in october 2020, artis-naples presented the annual naples international film festival for the fourth time under its umbrella, in a hybrid in-person and virtual presentation format in keeping with covid-19 safety protocols. In addition to a robust virtual festival, artis-naples was one of the few film festivals in the 2020-21 season that was able to offer limited in-person screenings thanks to the versatility of the kimberly k. Querrey and louis a. Simpson cultural campus, which allowed for the open-air presentation of films for a live audience in norris garden on a 24-foot screen.

Part IIII, Line 4C

Established in 2000, artis-naples, the baker museum is a fine art museum currently housing a permanent collection of over 4,000 objects and approximately 35,000 square feet of indoor exhibition space, plus outdoor sculpture gardens throughout the cultural campus. In fall 2020, an 18,000-square-foot expansion of the baker museum building opened, which created new spaces for multi-disciplinary exploration and social engagement. The museum celebrated its 20th season, and the expansion opening, with a series of exhibitions including dreaming forms: chihuly then and now; blurring boundaries: women of american abstract artists, 1936-present; making a mark: american women artists; subject matters: selections from the permanent collection; and marcus jansen: two decades of relevance. The permanent collection of the baker museum is maintained for public exhibition, education, scholarship, research and stewardship in furtherance of public service, rather than for financial gain. The baker museum is committed to rediscovering the established and fulfilling curiosity for the new. Past and future visits to the museum are an experience in scale and intimacy from famed arts patron olga hirshhorn's mouse house collection, featuring more than 200 diminutive examples of individual artistic style by mid- and late-20th-century masters, to the majestic presence and inspiring awe of dawn's forest, the last and largest sculpture installation by the eminent american artist louise nevelson. The museum's robust educational and visual arts calendar features a combination of exhibitions drawn from the permanent collection of recognized holdings of modern and contemporary art and noted traveling exhibitions. The museum's curatorial team champions the work of emerging and mid-career artists by originating exhibitions. These shows often provide artists with their first american museum exposure or solo show debuts. An example is painter marcus jansen, based in new york and fort myers, florida, and renowned for his monumental paintings reflecting global sociological, political and economic issues. Marcus jansen: two decades of relevance, was the artist's first solo museum exhibition in southwest florida.

Financial Statement Notes

PART III, LINE 1A:

Artis-naples acquired $1,500,000 and $- in new works of art during 2020 and 2019, respectively. There were no donations of art during the year ended june 30, 2021 and 2020. Pursuant to artis-naples policies, purchases of art are recorded as expenses in the consolidated statement of activities; no value is reported for the contribution of art.

PART III, LINE 4:

More than 3,000 objects and works of art comprise artis-naples's collections, including works of american modernism, mexican modernism, latin american contemporary, contemporary art of the americas, and collection of two and three dimensional objects such as paintings, works on paper, and sculpture, as well as a miniatures collection.

PART V, LINE 4:

The earnings on endowment funds are to be used for support of the organization programs. Artis-naples has adopted a policy of spending up to 5.0% of a 12-quarter moving average value of the endowment through the fiscal year ending june 30, 2020. For the fiscal year ending june 30, 2021, the organization is changing to a 16-quarter moving average, and then for the year ending june 30, 2022 and thereafter, a 20-quarter moving average. The end date of the quarters will be december 31.

PART X, LINE 2:

Artis-naples has adopted the income tax standard for uncertain tax positions. Artis-naples has evaluated its tax positions and concluded that artis-naples has taken no uncertain tax positions that require adjustment to the financial statements to comply with the provisions of this guidance.
