“The chair of the board, the ceo, and the chair of each committee comprise the executive committee. They are all board members. They can act on behalf of the full board for actions outlined in the by-laws.”
“The by-laws were updated to include a new section 1.3 authorizing the board to accept restricted contributions. In article ii, section 2.9 was renamed to manner of acting with added clarification. Article iii saw two changes: section 3.2 now requires each committee to have at least two members, and section 3.3(f) replaced the executive compensation committee (previously a subcommittee of the executive committee) with a new standing board committee named the people and compensation committee. Article v on indemnification was reorganized and reworded, while article vi had its amendment paragraph revised. Lastly, article vii (miscellaneous provisions) removed the gender-related section and added three new sections: 7.2 for electronic transmission of communications, 7.7 for books and records, and 7.8 for a conflict of interest policy.”
“The draft 990 is reviewed by the finance or audit and risk committee. The final draft is presented to the full board at the meeting prior to the filing deadline.”

“Artis-naples, home of the baker museum and naples philharmonic, creates and presents world-class visual and performing arts. Through our multidisciplinary offerings, we inspire, educate and entertain to engage and enrich the growing and diversifying community. Unique among cultural institutions nationwide, artis-naples offers audiences more than 800 concerts, performances, exhibitions and educational events for children and adults each year. These events, both paid and free, take place in venues across our 8.5-acre kimberly k. Querrey and louis a. Simpson cultural campus and throughout the greater community. In july 2024, artis-naples announced its full schedule of visual and performing arts offerings for the 2024-25 season. The season marked alexander shelley's inaugural year as sharon and timothy ubben artistic and music director, conducting the naples philharmonic and guiding the entire multidisciplinary organization in shaping its programming and artistic vision. Under the theme of storytelling, the season's programming interwove music, visual arts, film, dance and educational events that illuminated the power of narrative across artistic disciplines. In the concert hall, audiences experienced works inspired by literature, history and folklore, from gabriela ortiz's kauyumari to beethoven's iconic ninth symphony, mussorgsky's pictures at an exhibition and richard strauss' till eulenspiegel's merry pranks. In the baker museum's galleries, exhibitions explored narratives of identity, memory and place, including as we rise: photography from the black atlantic and becky suss: the dutch house. Across all settings, programming invited audiences to engage with the timeless human drive to share and interpret stories. The baker museum remained open year-round, presenting a dynamic lineup of exhibitions, each accompanied by related programs and events, including several developed or presented through community partnerships. Alex katz: theater and dance was complemented by a talk with michael novak, artistic director of the paul taylor dance company, highlighting katz's long-standing collaboration with the choreographer and coinciding with a performance by the company alongside the naples philharmonic. Rafael lozano-hemmer: obra sonora was enriched by a public conversation between the artist and artistic and music director alexander shelley, underscoring the multidisciplinary dialogue between sound, technology and art. Entangled in the mangroves was created in collaboration with the miccosukee tribe of indians of florida and presented in partnership with the rookery bay national estuarine research reserve, connecting contemporary art with cultural and environmental perspectives. The season also featured a new installment of florida contemporary as well as selections from the museum's permanent collection. In april 2025, the museum achieved accreditation by the american alliance of museums (aam)one of approximately 1,100 institutions nationwide to earn this distinctionrecognizing its commitment to excellence and public service. In june 2025, artis-naples, the baker museum announced the gift of the dr. Laurence and rita sibrack collection of contemporary glass and ceramics, adding 74 works by 60 renowned artists. Performing arts highlights showcased the range and artistry of the naples philharmonic, with six masterworks programs led by artistic and music director alexander shelley, including collaborations with artistic partner james ehnes, pianist gabriela montero and other renowned artists. Principal pops conductor jack everly returned to lead the pops series, featuring a celebration of gershwin's music, a highlight reel of music from classic sci-fi and fantasy cinema and television, and more.
