The executive committee is comprised of the chairs of the organization's committees. The executive committee, per the bylaws, can act on behalf of the full board.

Form 990, Part VI, Section A, Line 4

The bylaws were updated in april 2020 changing "ceo and president" to "ceo", throughout the document. Also, quorum requirements changed from 15 members to 40%, term limits for committee chairs were added, the structure of the executive committee was detailed, and the executive compensation committee was added as a standing subcommittee of the executive committee.

The cfo reviews the prepared return for accuracy against the audited financials and the general ledger. The ceo then reviews the draft approved by the cfo. Once the ceo has approved the return the draft is submitted to the finance /audit committee of the board. The draft is then submitted to the board for review before the return is filed with the irs.

The organization's policy states that "any employee who discovers an event of questionable, fraudulent or illegal nature should immediately report such event to the ceo or human resources. The company will protect employees who report in good faith what they reasonably believe to be a violation of state and federal law or conditions or practices that would put the health or safety of employees at risk. No employee will be discharged, threatened or discriminated against in any manner for reporting what they perceive as wrongdoing. All members of the board of directors are required to document conflicts, if any, annually in writing"

A compensation study was prepared by willis, towers and watson for the organization's staff and senior leadership in 2018. This compensation study was based on norms and other relevant data for each such position. Ceo compensation was researched by an independent consultant in 2018, and this information was used for contract negotiations for the fiscal year starting 7/1/2018 and is still in place.

Part IIII, Line 1

Artis-naples is unique among nonprofit cultural institutions nationwide, dedicated to creating and presenting world-class visual and performing arts. We inspire, educate and entertain to enrich our diverse community. Artis-naples, home to the baker museum and the naples philharmonic, hosts more than 800 concerts, performances, exhibitions and educational events for children and adults from all backgrounds each year. These events, both paid and free, take place in venues across our 8.5-acre kimberly k. Querrey and louis a. Simpson cultural campus and throughout the greater community. In march 2020, artis-naples suspended programming for the remainder of the season as a precaution due to the covid-19 pandemic. During this time, online content was offered through digital platforms to offer patrons opportunities to stay engaged with their favorite disciplines at artis-naples. Through artis-naples at home, online content and programming was shared via the artis-naples website, regular email communications, and youtube and social media channels. Highlights include streamed recordings of some of music director andrey boreyko's favorite naples philharmonic performances, youtube channels with at-home performances by musicians of the naples philharmonic and naples philharmonic youth ensembles, educational videos from the baker museum's artsmart at home program, summer reading recommendations and reviews from our literary critic elaine newton and essays from the museum's director of curatorial affairs, rangsook yoon. Artis-naples provides an array of opportunities for the novice or seasoned cultural patron to engage with the arts. This inclusive approach, under the guidance of ceo and president kathleen van bergen and music director andrey boreyko, ranges from single performances to season-long, multi-disciplinary experiences and exhibitions, united by a singular theme or idea. From classical to jazz, from ballet to broadway musicals, artis-naples creates or presents a variety of offerings and genres including orchestra, dance, chamber music, exhibitions, presentations, lifelong learning lectures, master classes and social events. In 2017, artis-naples welcomed the naples international film festival into its multi-disciplinary mission; niff celebrated its 11th anniversary in 2019 and was named a moviemaker top 25 coolest festivals in the world. Typically, our cultural campus welcomes over 300,000 visitors each year and is currently comprised of two performance halls (frances pew hayes hall and myra j. Daniels pavilion), the baker museum, the toni stabile education building and kohan administration building. Following a repair and expansion project, the museum reopened to the public in december 2019, with stunning exhibitions including 100 iconic works from the permanent collection and monet to matisse: french masterworks from the dixon gallery and gardens, and looking at words: a poetry of shape, from the collections of jordan d. Schnitzer and his family foundation. The baker museum expansion, featuring new performance, educational and event spaces plans will open late summer of 2020.

Part IIII, Line 4A

The naples philharmonic has long been recognized as one of the cornerstones of southwest florida's arts community. In the 2014-15 season, andrey boreyko assumed the title of music director and continues to serve in this capacity for artis-naples. Boreyko is internationally recognized as one of the most exciting and dynamic conductors working today. This appointment, extended into 2020, marks his first american post. The naples philharmonic performs over 140 orchestral and chamber music concerts, as well as opera and ballet, education, community and special event concerts annually between september and june in the 1477-seat hayes hall, the 283-seat daniels pavilion and around southwest florida. The naples philharmonic was founded in 1982 as the naples-marco philharmonic and, in its first season, performed four concerts as a chamber orchestra. In 1989, the then-philharmonic center for the arts opened as the home of naples philharmonic, and since then, the ensemble has grown in scope, size and artistic impact. Highlights of the 2019-20 orchestral season included a season-long tribute to beethoven marking the 250th anniversary of his birth, featuring world-renowned guest pianists including emanuel ax, jeremy denk, and alexandre kantorow.

Part IIII, Line 4B

Artis-naples hosts a robust education and presenting season. The 800-plus events and offerings include touring broadway, a tremendous set of visiting orchestras, fantastic education and lifelong learning programs, as well as performers from the worlds of comedy, pop, theatre and dance. With an 8.5-acre cultural campus, two performance halls, a museum and a variety of spaces for learning and lecturing, artis-naples presents a broad range of multidisciplinary programming to match the growing population and interests in southwest florida. Highlights of the 2019-20 performance season included the broadway smash-hit hamilton, chicago symphony orchestra with music director riccardo muti, in its second year of a three-year residency and performances by legendary performers the beach boys, gladys knight, and paul anka, among others. The education and community partnerships highlights included a continued relationship with collier county public schools through the partners in education program of the kennedy center. Artis-naples arts education programs reached every school in the county in the 2019-20 school year. Adult education welcomes more than 7,000 lifelong learners to lectures on a variety of topics ranging from dance, music, art and literature. And, in october 2019, artis-naples presented the annual naples international film festival for the third time under its umbrella, with more than 50 films shown over four days.

Part IIII, Line 4C

Established in 2000, artis-naples, the baker museum is a fine art museum currently housing a permanent collection of over 3,500 objects and about 35,000 square feet of indoor exhibition space, plus outdoor sculpture gardens throughout the cultural campus. The permanent collection of the baker museum is maintained for public exhibition, education, scholarship, research and stewardship in furtherance of public service, rather than for financial gain. The baker museum is committed to rediscovering the established and fulfilling curiosity for the new. Past and future visits to the museum are an experience in scale and intimacy from famed arts patron olga hirshhorn's mouse house collection, featuring more than 200 diminutive examples of individual artistic style by mid- and late-20th-century masters, to the majestic presence and inspiring awe of dawn's forest, the last and largest sculpture installation by the eminent american artist louise nevelson. The museum's robust educational and exhibition calendar features a combination of exhibitions drawn from the permanent collection of recognized holdings of modern and contemporary art and noted traveling exhibitions. The museum's curatorial team champions the work of emerging and mid-career artists by originating exhibitions. These shows often provide artists with their first american museum exposure or solo show debuts. When the museum reopened to the public in december 2019 along with a newly designed outdoor norris garden courtyard space exhibition highlights also included color field, organized by crystal bridges museum of art.

There was $421,000 in donations of art to artis-naples during the year ended june 30, 2019. Pursuant to artis-naples policies, purchases of art are recorded as expenses in the consolidated statement of activities; no value is reported for the contribution of art. More than 3,000 objects and works of art comprise artis-naples's collections, including works of american modernism, mexican modernism, latin american contemporary, contemporary art of the americas, and collection of two and three dimensional objects such as paintings, works on paper, and sculpture, as well as a miniatures collection.
