The board chair may appoint a disinterested person or committee to investigate alternatives, if appropriate, to the proposed conflict transaction. Once due diligence has been exercised, the board will use reasonable efforts to obtain a similar or more advantageous transaction or arrangement that would not give rise to a conflict of interest. If no reasonable alternative exists, the board may approve the conflict transaction if it is in the best interests of the school. All conflict of interest discussions must be reflected in the meeting minutes where they were discussed.”
