Before, the election of trustees could only occur at the board's annual meeting in may, but now it can also occur at such other board meeting so designated. Before, all board meetings required that all trustees to attend in-person, but now trustees can attend and participate in meetings remotely, in the chair's discretion. When a trustee is being considered for removal, that trustee is now excluded from the three-fourths vote in their removal consideration. That trustee now shall not be entitled to be present for the board's deliberation on the question of their removal and may not vote. If the governance subcommittee is requested to investigate, the governance subcommittee is now required to report its findings to the board in their consideration of removing a trustee.”

The policy applies to trustees, corporate officers, the heads of school, senior management, and board committee members. Those covered under the conflict of interest policy are required to disclose, in writing, any actual or potential conflict of interest as soon as they become aware of it. This person does not participate in discussions where the determination of a conflict is discussed and voted upon. The remaining trustees determine whether a conflict exists. The board chair may appoint a disinterested person or committee to investigate alternatives, if appropriate, to the proposed conflict transaction. Once due diligence has been exercised, the board will use reasonable efforts to obtain a similar or more advantageous transaction or arrangement that would not give rise to a conflict of interest. If no reasonable alternative exists, the board may approve the conflict transaction if it is in the best interests of the school. All conflict of interest discussions must be reflected in the meeting minutes where they were discussed.”
