Form 990, Part VI, Section A, line 7A

For purposes of participation in the activities of the corporation, the State of North Carolina will be divided into six regions. In order for a region to participate in the activities of the corporation, one or more United Ways in the region must provide material financial support to the corporation. Each participating region will appoint three individuals to the Board of Directors, as follows: (a) a chief professional officer of the region, or his or her designee; (b) a community volunteer from the region; and (c) an at-large representative. The participating United Ways in each region will determine the process for appointing individuals to the Board of Directors. Additionally, the following ex officio directors exist: (1) the chief professional officer of United Way of North Carolina and the Chair of the 211 Standing Committee of United Way of North Carolina shall serve as ex officio directors with full voting rights; (2) the chief professional officer of the corporation will serve as an ex officio director without voting rights; and (3) representative from the United Way of Asheville and Buncombe County shall serve as an ex officio director with full voting rights.

Financial Statement Notes

Part X, Line 2:

The Organization follows the FASB guidance on accounting for uncertainty in income taxes. The guidance clarifies the accounting for uncertainty in income taxes recognized in an entity's financial statements by prescribing a recognition threshold and measurement attribute for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return. The Organization's policy is to record a liability for any tax position taken that is beneficial to the Organization including any related interest and penalties, when it is "more likely than not" (more than 50% likelihood) the position taken by management with respect to a transaction or class of transactions will be overturned by a taxing authority upon examination. Management believes there are no such positions as of December 31, 2016 and, accordingly, no liability has been accrued.

Under the agreement, Rob Lamme and Associates provides policy and communications assistance to North Carolina 211 including planning efforts to create grassroots communication, media and policy strategies that will benefit the organization's long and short term state policy goals; monitoring relevant legislative meetings, providing direct lobbying services to North Carolina 211 for all members of the N.C. General Assembly as well as state agencies, providing pre- and post-session briefings regarding the organization's advocacy efforts; participating in leadership and/or grassroots advocacy trainings North Carolina 211 may undertake, and assisting in the creation and implementation of grassroots communication, media and policy strategies. These services are focused, but not limited to, helping to build North Carolina 211's relationships with policymakers, and advocating for the organization's legislative priorities.

The guidance clarifies the accounting for uncertainty in income taxes recognized in an entity's financial statements by prescribing a recognition threshold and measurement attribute for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return. The Organization's policy is to record a liability for any tax position taken that is beneficial to the Organization including any related interest and penalties, when it is "more likely than not" (more than 50% likelihood) the position taken by management with respect to a transaction or class of transactions will be overturned by a taxing authority upon examination. Management believes there are no such positions as of December 31, 2016 and, accordingly, no liability has been accrued.
