“The by-laws were amended to read: section 4.3 terms: all officers, except the immediate past president, who may serve for only one year following the expiration of his/her term as president, shall serve one three-year term and unless otherwise provided herein shall not be eligible for a second three-year term as an officer in the same position without the benefit of there being at least one-year passing without having served in that position before being elected. In the event the board determines the existence of exceptional circumstances, an officer may be elected for consecutive terms in the same position. The determination of what conditions qualify as exceptional circumstances shall be solely within the discretion of the board. If an officer is elected to fill an expiring term, his or her term shall begin on january 1 of the year following his or her election. If an officer is elected to fill a vacancy, the board shall determine if the officer shall serve the unexpired portion of the term or begin a new term.”
