“Each board member at the start of their term is required to read and agree by signing the conflict of interest policy. The policy states the following: there may be times in your role as a board member that you could encounter a conflict of interest. The following guideline are available to help you in such a situation. To avoid a conflict of interest, at the time an action or policy is under consideration, each officer and all elected or appointed officials and staff members inform the leadership council or board of directors members of any position currently held or held in the past, of any investment, and of any business or a vocational activity that may result in a possible conflict of interest or bias for or against the particular action or policy. Officers, directors, or staff members abstain from participation in the review of or from voting on any action in which they have a direct or indirect interest. The person having the conflict retires from the room in which the leadership council or board of directors is meeting but provides any and all relevant information. The minutes of the meeting reflect that the conflict of interest was disclosed and that the interested person was not present during the final discussion and did not vote. I agree that i will follow the above guidelines and if in doubt about a situation, i will bring it to the attention of the other officers for clarification. The individual bears the responsiblity for disclosing a conflict of interest. The supervisors and hr monitor the employees conflict of interest and the board of directors monitors the conflict of interest for other board members.”

“The terms of any contract with the executive director, and the compensation to be paid the executive director, shall be reviewed periodically by the executive committee or its designee, which may engage counsel and compensation specialists as the committee deems advisable to assure that the compensation paid is appropriate in relation to that paid by comparable institutions for similar services, as well as other relevant considerations including performance. The senior director, human resources may or may not make a recommendation for equity adjustments based on the survey data. Anchored with the annual salary budget and information from the senior director, human resources, the executive director determines and approves annual increases for the associate executive director, chief officers. And key staff. 2017 was the most recent year in which the process included review and approval by independent persons, comparability data, and contemporaneous substantiation of the deliberation and decision.”
