Mission and Program Overview

Mission

The mission of national quality forum (nqf) is to be the trusted voice driving measurable health improvements. Nqf was founded in 1999 as a not-for-profit-membership-based organization in response to the president's advisory commission on consumer protection and quality in the healthcare industry, which called for an organization to lead quality measurement as a formal consensus-based entity (cbe). Nqf is a trusted convener that operates consistently as a cbe governed by a consumer-purchaser majority board. Nqf brings together diverse organizations and individuals from across all categories of stakeholders in the healthcare field including patients, caregivers, hospitals, healthcare systems, clinicians, payers, employers, and policy makers. With extensive experience identifying and developing consensus strategies to address barriers to measure development, use, and implementation, nqf forges novel partnerships to advance measures that lower measurement burden.

The national quality forum (nqf) is a not-for-profit, nonpartisan, membership-based organization that works to improve healthcare outcomes, safety, equity, and affordability. Our unique role is to bring all voices to our table to forge multistakeholder consensus on quality measurement and improvement standards and practices that achieve measurable health improvements for all.

Effective september 30, 2023, the nqf bylaws were amended to reflect the addition of the joint commission on accreditation of healthcare organizations d/b/a the joint commission as the sole corporate and voting member of nqf with the authority and prerogatives of a member as defined by the district of columbia nonprofit corporation act.

Form 990, Part VI, Section A, Line 6

Nqf member organizations represent voices in every sector of health and healthcare-patients and caregivers, consumers, payers, specialty societies, measure developers, federal partners, purchasers, life sciences companies, providers, healthcare researchers, and more. Nqf provides its members with the platform to share their time and expertise to provide input on issues of national importance and to learn from and collaborate with each other. Membership includes building consensus on national priorities and goals for performance improvement and working in partnership to achieve them, engaging with a diverse community and stakeholders and promoting the attainment of national goals through education and outreach. Participation includes the opportunity to participate in nqf education programs, serve on steering committees, expert panels, councils and workgroups, and network with other nqf members.

Form 990, Part VI, Section A, Line 7A

There is one corporate member, the joint commission on accreditation of healthcare organizations, d/b/a the joint commission. The joint commission has the power to: a)to appoint a majority (51%) of the board of directors of the corporation and remove such majority with or without cause; b)to appoint the chair and vice-chair of the board of directors from a slate of individuals recommended by the board of directors; c)to appoint president & chief executive officer after consultation with the board of directors, and removal of such officer with or without cause, provided that an individual so removed may have a claim for compensation if the removal breaches any contract approved by nqf; d)to amend the articles of incorporation of the corporation and of these bylaws; e)to approve the corporation's mission, vision statement, and strategic or long-term plans; f)to approve formation by the corporation of any owned subsidiaries or controlled affiliates, any permanent or long term affiliations, and any joint venture involving capital investment of the corporation in excess of $250,000. G)to approve the sale, distribution or encumbrance of all, or substantially all of the corporation's assets, whether or not in the ordinary course of business; h)to approve incurrence by the corporation of debt in excess of $250,000. I)to approve the corporation's annual operating and capital budgets and material amendments, in the context of the corporate member monitoring and approving the operating and capital budgets of the corporation and all of its owned subsidiaries and controlled affiliates together; and j)to approve any merger, consolidation, liquidation or dissolution of the corporation.

Nqf's form 990 undergoes a number of internal and external reviews before it is filed with the irs. The return is prepared by nqf's public accounting firm. A final draft of the return is then provided to the chair of nqf's finance and audit committee for review, comment and approval. It is then provided to the board of directors and subsequently filed with the irs.

Form 990, Part VI, Section B, Line 12C

On an annual basis, conflict of interest forms are sent to board members and staff to complete. The general counsel reviews conflict of interest forms submitted by board members and board members verbally disclose any relevant information annually in a public board session. Employee conflict of interest forms are screened by the human resources department and any disclosures made by employees are referred to the general counsel for follow-up and resolution.

Independent members of the board of directors comprise the executive committee. The executive committee acts as the compensation committee, which recommends the ceo's employment agreement and compensation package, which are then approved by the entire board. Compensation data provided by an independent consultant is used to determine the ceo's compensation. Contemporaneous substantiation of the deliberation and decision is also maintained.

In february 2023, the centers for medicare & medicaid services (cms) completed a competitive process to award the next phase of work for the endorsement & maintenance of quality performance measures, the measure applications partnership (map), and cms-supported work for the core quality measure collaborative (cqmc). The national quality forum (nqf) was not awarded this next phase of work. Nqf is therefore expanding its efforts as a consensus based entity (cbe) to forge consensus on performance measurement and improvement priorities previously precluded under that contract and necessary to improve healthcare quality, outcomes, safety.

Financial Statement Notes

PART X, LINE 2:

The internal revenue service has determined that the joint commission and its affiliates are exempt from federal income taxation under section 501(a) as organizations described in section 501(c)(3) of the internal revenue code (irc). The joint commission and its affiliates are subject to income taxes on income determined to be unrelated business taxable income (ubti), which is axed at the corporate income tax rate. The joint commission continues to evaluate its tax positions pursuant to the financial accounting standards board (fasb) accounting standards codification (asc) subtopic 740-10, income taxes overall. As of december 31, 2023 and 2022, the joint commission believes it has taken no significant uncertain tax positions. The joint commission and each of its affiliates have been classified as an organization that is not a private foundation under irc section 509(a) and may receive deductible contributions under section 170(c). Both the joint commission and jcr are organizations that normally receive more than 33 1/3% of their support from contributions, membership fees, and gross receipts from activities related to its exempt functions and no more than 33 1/3% of its support from gross investment income and unrelated business taxable income under irc section 509(a)(2). National quality forum is an organization that normally receives a substantial part of its support from the general public under section 170(b)(1)(a)(vi).
