Governance Explanations

Form 990, Part VI, Section A, Line 2

Thomas kuhn, brian wolff, emily fisher, john schlenker, lisa wood, stephanie voyda, eric holdsworth, adam cooper, victoria calderon, niki nelson and steven mccune have a business relationship as they were all employed by eei, a related organization for which kuhn, wolff, fisher, schlenker, wood, and voyda served as officers.

Form 990, Part VI, Section A, Line 4

The bylaws were amended to reflect a change in dc law, which governs the foundation, and which prohibits the same officer from serving as both the president and treasurer of the foundation. Previously, the bylaws prohibited the same officer from serving as both president and secretary as at the time of the bylaws' drafting, the prohibition applied to the roles of president and secretary.

Form 990, Part VI, Section A, Line 6

The organization has two classes of members. Class a membership is comprised of the edison electric institute. Class b membership shall be the persons constituting the voting members of edison electric institute.

Form 990, Part VI, Section A, Line 7A

The class a member shall have the exclusive right to elect directors to succeed the initial directors.

Form 990, Part VI, Section A, Line 7B

The class a member shall have no limitation on the voting power or authority, except as may be provided in the bylaws. The class a member shall have the power to repeal or amend the bylaws, or adopt new bylaws. Class b members are provided the rights, privileges, obligations and responsibilities of class b members as prescribed by the bylaws.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by the organization's outside cpa firm and reviewed by organization's management in advance of filing.

Form 990, Part VI, Section B, Line 12C

The organization has adopted the written conflict of interest policies of edison electric institute, inc (eei) for all officers, directors, and key employees. Eei's employee handbook and code of conduct have been distributed to all employees and are on eei's intranet site. These documents include, in part, eei's core values, operating principles, conflict of interest policy and whistleblower policy, which includes a confidential 800 telephone number. Periodic reminders are given. Eei has a written director's conflict of interest policy, applicable to all members of its board of directors, which was formally adopted by eei's board. Periodic reminders are given. Eei also has a corporate compliance officer, a vendor code of conduct policy, and a policy and procedure for reporting violations of the code of conduct as well as concerns about the use of eei's corporate resources and financial reporting. There has not been a violation of the conflict of interest policies; although we stand ready to enforce the policies in appropriate circumstances.

Form 990, Part VI, Section C, Line 19

The organization's articles of incorporation and conflict of interest policy are available upon request. The organization's audited financial statements are not made available to the public; however, the balance sheet and income statement can be found on the form 990 which is made available to the public on various web sites and upon request.
