The organization has two classes of members. Class a membership is comprised of the edison electric institute. Class b membership shall be the persons constituting the voting members of edison electric institute.

The class a member shall have the exclusive right to elect directors to succeed the initial directors.

The class a member shall have no limitation on the voting power or authority, except as may be provided in the bylaws. The class a member shall have the power to repeal or amend the bylaws, or adopt new bylaws. Class b members are provided the rights, privileges, obligations and responsibilities of class b members as prescribed by the bylaws.

The organization has adopted the written conflict of interest policies for all officers, directors, and key employees of edison electric institute,inc. Edison electric institute inc.'s code of business conduct has been distributed to all employees and is on the organization's intranet site. This document includes, in part, eei's core values, operating principles, conflict of interest policy and whistleblower policy, which includes a confidential 800 telephone number. Periodic reminders are given. Edison electric institute, inc. Has a written director's conflict of interest policy, applicable to all members of its board of directors, which was formally adopted by the organization's board. Periodic reminders are given. The organization also has a corporate compliance officer, a policy and procedure for reporting violations of the code of business conduct as well as concerns about the use of edison electric institute inc.'s corporate resources and financial reporting and a vendor code of conduct policy. There has not been a violation of the conflict of interest policies; although we stand ready to enforce the policies in appropriate circumstances.

NARUC BREAKFAST BRIEFINGSIEI HOSTED AND MODERATED TWO BRIEFINGS AT THE NATIONAL ASSOCIATION OF REGULATORY UTILITY COMMISSIONERS MEETINGS: ENERGY STORAGE: GROWING THE MARKET AND GETTING THE MOST VALUE (FEBRUARY) AND PROVIDING WIN-WIN SOLUTIONS TO CITIES/COMMUNITIES WITH CLEAN ENERGY AND CARBON REDUCTION GOALS (NOVEMBER).IEI REPORTS AND ISSUE BRIEFSEACH YEAR, IEI PUBLISHES REPORTS, ISSUE BRIEFS, AND FACT SHEETS TO IDENTIFY WHERE THE INDUSTRY IS TODAY AND TRENDS FOR THE FUTURE IN THE AREAS OF ENERGY EFFICIENCY, SMART METERS, ELECTRIC VEHICLE TRENDS, AND CLEAN ENERGY TRENDS.
