Governance Explanations

Form 990, Part VI, Section A, Line 4

During the course of 2017, the board of chpd voted to implement two changes to the bylaws. The first change was adoption of a provision establishing a board position of "immediate past chair." this amendment provides a role for a member serving as chair, upon completion of his or her term as chair, serving a two-year term as immediate past chair. The immediate past chair may also be re-elected to that position until such time as the current chair completes their term(s) of office. The second change made to the bylaws implements term limits for board members, limiting membership to no more than three consecutive three-year terms. The amendment provides a transition schedule to allow for the practical and smooth implementation of this change, without causing undue turnover in any given year.

Form 990, Part VI, Section B, Line 11B

The federal form 990 is prepared by an outside audit and accounting firm. Prior to filing with the internal revenue service, the draft version of the federal form 990 is reviewed and approved by top management and the audit committee.

Form 990, Part VI, Section B, Line 12C

Officers and members of the board of directors complete an annual disclosure form at the start of each calendar year. At each biannual board meeting, they are asked to provide any updates or changes to their profile that could be of potential conflict and this informatlon is recorded in the meeting minutes. The center collects the same conflict of interest disclosures from all staff on an annual basis.

The process for determining compensation for the president/executive director includes the use of comparability data and contemporaneous substantiation of the deliberation and decision. The president/executive director compensation is then discussed in an executive session after the fall board of directors meeting.

THEY HAVE STREAMLINED ENTRY IN TO COMMUNITY SERVICES PROGRAMS TO MAKE THEM AS ACCESSIBLE AS INSTITUTIONAL CARE; MADE EFFECTIVE USE OF TECHNOLOGY TO HELP INDIVIDUALS ACCESS AND COORDINATE NEEDED SUPPORTS; CONTROLLED THE GROWTH OF BOTH COMMUNITY AND INSTITUTIONAL SPENDING; AND HAVE BEGUN TO BETTER INTEGRATE THE DELIVERY OF LONG TERM AND CHRONIC CARE. OTHER STATES ACROSS THE COUNTRY ARE LOOKING TO THE LEADER STATES FOR STRATEGIES THEY CAN APPLY TO REFORMING THEIR SYSTEMS. THE CENTER'S WORK IN LONG TERM AND CHRONIC CARE DELIVERY SYSTEMS ANALYZES STATE INITIATIVES IN ORDER TO ADVANCE PROMISING PRACTICES THAT COULD BE ADOPTED MORE BROADLY BY STATES. WE HAVE ALSO CONDUCTED ASSESSMENTS OF THE FACTORS THAT ARE LIMITING FURTHER PROGRESS ON DELIVERY SYSTEMS REFORMS AND HAVE RECOMMENDED CHANGES IN FEDERAL FINANCING OF LONG TERM SERVICES AND SUPPORTS AND WAYS TO BETTER COORDINATE THE MEDICARE AND MEDICAID PROGRAMS OF BEHALF OF DUAL ELIGIBLES. CHRONIC AND VULNERABLE POPULATIONS: PERSONS WHO REQUIRE ASSISTANCE WITH DAILY ACTIVITIES OVER THE LONG TERM DUE TO DISABILITY OR CHRONIC HEALTH CONDITIONS OFTEN HAVE COMPLEX NEEDS THAT MUST BE ADDRESSED BY MULTIPLE PROVIDERS AND DELIVERY SYSTEMS. THE CENTER'S WORK IN LONG TERM SERVICES AND SUPPORTS IS AIMED AT ASSISTING STATE POLICYMAKERS TO ASSESS THEIR CURRENT SYSTEMS AND ADVANCE REFORMS IN THE WAY SERVICES ARE ORGANIZED, FINANCED AND DELIVERED. SPECIFICALLY, STATES ARE PROVIDING MORE OPPORTUNITIES FOR INDIVIDUALS TO RECEIVE SERVICES AND SUPPORTS IN THEIR OWN HOMES AND COMMUNITIES. IN CHRONIC CARE, THE CENTER SUPPORTS STATES' EFFORTS TO IMPROVE THE TREATMENT AND A MANAGEMENT OF CHRONIC CONDITIONS, ENHANCE CARE COORDINATION, AND INTEGRATE THE DELIVERY OF HEALTH AND LONG TERM CARE SERVICES. POPULATION HEALTH: STATES HAVE A CRITICAL ROLE TO PLAY IN DEVELOPING PUBLIC HEALTH SYSTEMS THAT PROTECT AND IMPROVE HEALTH AT THE COMMUNITY AND POPULATION LEVELS BY PREVENTING DISEASE AND PROMOTING HEALTHY BEHAVIORS. STATES CAN DEVELOP POLICIES AND INITIATIVES TO EDUCATE THE PUBLIC, SUPPORT COMMUNITY PROGRAMS, PREPARE FOR AND PREVENT INFECTIOUS DISEASE OUTBREAKS, PREVENT INJURIES, AND ENSURE SAFE ENVIRONMENTS. THE CENTER CREATES OPPORTUNITIES TO ENGAGE GROUPS OF INFLUENTIAL STATE OFFICIALS, INCLUDING GOVERNOR'S POLICY ADVISORS, PUBLIC HEALTH DIRECTORS AND STAFF, AND MEDICAID AND CHIP LEADERSHIP MORE FULLY IN CHRONIC DISEASE PREVENTION AND HEALTH PROMOTION. THE CENTER HAS ANALYZED STATE EFFORTS FOCUSED ON SPECIFIC CHRONIC DISEASES, SUCH AS OBESITY, AND ALSO WORKED WITH STATES FOCUSED ON BROAD HEALTH REFORM INITIATIVES TO EXAMINE HOW THEY HAVE ADDRESSED CHRONIC DISEASE PREVENTION TO IMPROVE HEALTH OUTCOMES AND CONTAIN COSTS IN THE LONG TERM. CHILD AND FAMILY HEALTH - THROUGH MEDICAID AND THE CHILDREN'S HEALTH INSURANCE PROGRAM (CHIP), STATES AND THE NATION HAVE MADE SUBSTANTIAL PROGRESS IN COVERING CHILDREN AND IMPROVING THEIR ACCESS TO QUALITY HEALTH CARE SUPPORTING HEALTHY GROWTH AND DEVELOPMENT. IN 2016, THE CENTER CONTINUED IT SUPPORT, ANALYSIS, AND REPORTING ON STATE EFFORTS TO EXTEND CHILDREN'S COVERAGE SINCE THE CHIP PROGRAM'S INCEPTION, BUILDING ON THE ORGANIZATION'S LONGSTANDING WORK ON MEDICAID.
