Governance Explanations

Form 990, Part VI, Section A, Line 4

Qualifications of board members: amended to allow individuals to serve as a member of the chpd board if they demonstrate leadership in state health policy or non-profit management or are familiar with key state or federal health policy issues. Previously, the bylaws required members to possess all, rather than one or more of those qualities.

Form 990, Part VI, Section B, Line 11B

The federal form 990 is prepared by an outside audit and accounting firm. Prior to filing with the internal revenue service, the draft version of the federal form 990 is reviewed and approved by top management and the audit committee.

Form 990, Part VI, Section B, Line 12C

Officers and members of the board of directors complete an annual disclosure form at the start of each calendar year. At each biannual board meeting, they are asked to provide any updates or changes to their profile that could be of potential conflict and this informatlon is recorded in the meeting minutes. The center collects the same conflict of interest disclosures from all staff on an annual basis.

Form 990, Part VI, Section B, Line 15A

The process for determining compensation for the president/executive director includes the use of comparability data and contemporaneous substantiation of the deliberation and decision. The president/executive director compensation is then discussed in an executive session after the fall board of directors meeting.

Form 990, Part VI, Section C, Line 19

The center's governing documents, conflict of interest policy, and financial statements are available to the public upon request.
