Governance Explanations

Form 990, Part VI, Section A, Line 4

In 2015, the center's board amended the organizational bylaws in three ways. First, a provision was added to make the chairperson of the national academy of state health policy an ex officio member of the center's board of directors. Next, the term of the immediate past chair was changed from one year to two years. Last, the bylaws were amended to specify that the annual meeting of the board of directors will be held during the annual conference of the national academy of state health policy.

Form 990, Part VI, Section B, Line 11

The federal form 990 is prepared by an outside audit and accounting firm. Prior to filing with the internal revenue service, the draft version of the federal form 990 is reviewed and approved by top management and the audit committee.

Form 990, Part VI, Section B, Line 12C

Officers and members of the board of directors complete an annual disclosure form at the start of each calendar year. At each biannual board meeting, they are asked to provide any updates or changes to their profile that could be of potential conflict and this information is recorded in the meeting minutes. The human resource department collects the same conflict of interest disclosures from the senior staff on an annual basis.

Form 990, Part VI, Section B, Line 15A

The process for determining compensation for the president/executive director includes the use of comparability data and contemporaneous substantiation of the deliberation and decision. The president/executive director compensation is then discussed in an executive session after the fall board of directors meeting.

Form 990, Part VI, Section C, Line 19

The center's governing documents, conflict of interest policy, and financial statements are available to the public upon request.

THE CENTER CREATES OPPORTUNITIES TO ENGAGE GROUPS OF INFLUENTIAL STATE OFFICIALS, INCLUDING GOVERNOR'S POLICY ADVISORS, PUBLIC HEALTH DIRECTORS AND STAFF, AND MEDICAID AND CHIP LEADERSHIP MORE FULLY IN CHRONIC DISEASE PREVENTION AND HEALTH PROMOTION. THE CENTER HAS ANALYZED STATE EFFORTS FOCUSED ON SPECIFIC CHRONIC DISEASES, SUCH AS OBESITY, AND ALSO WORKED WITH STATES FOCUSED ON BROAD HEALTH REFORM INITIATIVES TO EXAMINE HOW THEY HAVE ADDRESSED CHRONIC DISEASE PREVENTION TO IMPROVE HEALTH OUTCOMES AND CONTAIN COSTS IN THE LONG TERM.CHILD AND FAMILY HEALTH - THROUGH MEDICAID AND THE CHILDREN'S HEALTH INSURANCE PROGRAM (CHIP), STATES AND THE NATION HAVE MADE SUBSTANTIAL PROGRESS IN COVERING CHILDREN AND IMPROVING THEIR ACCESS TO QUALITY HEALTH CARE SUPPORTING HEALTHY GROWTH AND DEVELOPMENT.
