Baltimore medical system is a federally qualified health center. See schedule o.we provide primary and preventative health care to disadvantaged communities in baltimore city and county through six community health centers and eight school health sites. As the largest "safety net" provider in the state, we serve over 165,000 people annually.

“Annual declarations are required to be submitted by all officers and trustees to determine whether conflicts exist. Any reported conflicts are then reviewed by the board for appropriate action. If the board determines there is a conflict of interest, the following procedures will apply: 1. The interested person may make a presentation at the board meeting at which the transaction or arrangement related to the conflict is to be considered, but shall leave the meeting before discussion of and vote on that transaction or arrangement. 2. If appropriate, the chair of the board shall appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement and to make a written report to the board. 3. After exercising due diligence (including review of the report of the disinterested person or committee if one was appointed), the board shall determine whether bms can, with reasonable efforts, obtain a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. 4. If a more advantageous transaction or arrangement that would not give rise to a conflict of interest is not reasonably available, the board shall determine by a majority vote of the disinterested trustees (excluding ex offico, non-voting members) whether the transaction is in bms's best interest, for bms's benefit, and fair and reasonable. The board shall make its decision as to whether to enter into the transaction or arrangement based upon that determination.”

“The accounting standard on accounting for uncertainty in income taxes (fasb asc topic 740-10) addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, the organization may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities, based on the technical merits of the position. The tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. The guidance on accounting for uncertainty in income taxes also addresses de-recognition, classification, interest and penalties on income taxes and accounting in interim periods. Management evaluated the organization's tax positions and concluded that the organization had taken no uncertain tax positions that require adjustment to the financial statements to comply with the provisions of this guidance. The organization is no longer subject to income tax examinations by the u.s. Federal, state or local tax authorities for years before 2016.”
