Governance Explanations

Form 990, Part VI, Section B, Line 11

The return is sent to all trustees and to outside legal counsel for their review before filing, and the return is filed after their review.

Form 990, Part VI, Section B, Line 12C

Each year the existing conflict of interest policy is circulated to the trustees to sign/return (adopted 10/22/15); they must state that they have read and understand the document, and that they do not have any conflicts nor take any action that would appear to constitute a conflict in addition a questionnaire is sent to trustees along with the policy, asking about any potential conflicts or independence issues, which also must be signed/returned.

Form 990, Part VI, Section B, Line 15

Fte's ceo and cfo are employed by tfas (parent company) and follow the tfas compensation/review process. The tfas board compensation committee reviews comparability data, 990 data, etc. To determine the ceo pay. The ceo is charged with hiring the rest of the employees.

Supplemental Narrative

Financial Statement Notes

PART X, LINE 2:

The foundation is generally exempt from federal income taxes under the provisions of section 501(c)(3) of the internal revenue code. In addition, the foundation qualifies for charitable contribution deductions and has been classified as an organization that is not a private foundation. Income that is not related to exempt purposes, less applicable deductions, is subject to federal and state corporate income taxes. The foundation did not have any significant net unrelated business income for the year ended december 31, 2015. The foundation follows the accounting standard on accounting for uncertainty in income taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, the association may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities, based on the technical merits of the position. The tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. The guidance on accounting for uncertainty in income taxes also addresses de-recognition, classification, interest and penalties on income taxes, and accounting in interim periods. Management evaluated the foundation's tax positions and concluded that the foundation has taken no uncertain tax positions that require adjustment to the financial statements to comply with the provisions of this guidance. Generally, the foundation is no longer subject to income tax examinations by the u.s. Federal, state, or local tax authorities for years before 2012.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0THE FOUNDATION IS GENERALLY EXEMPT FROM FEDERAL INCOME TAXES UNDER THE PROVISIONS OF SECTION 501(C)(3) OF THE INTERNAL REVENUE CODE.
