Mission

The mission of auto-isac is to serve the global automotive industry as a central point for the analysis and sharing of trusted and timely cyber threat information about existing or potential cyber-related threats and vulnerabilities for the connected vehicle. Our membership includes light- and heavy-duty vehicles, commercial vehicle fleets and carriers.

Governance Explanations

Form 990, Part VI, Section A, Line 4

The organization updated its bylaws as outlined below. - the composition of the board was revised as follows: the board shall be comprised of greater than 50% designated representatives of oem members and greater than or equal to 30% designated representatives of non-oem members. The nominating task force shall ensure the mix of the board directors meets the foregoing percentages. The board shall be comprised of the four (4) officers, the chair of each affinity group that has at least five (5) members, the chair of each regional steering committee and three (3) at-large directors. The board may change the number of at-large directors; provided that any change continues to meet the requirement set forth in subsection (a) above. No member may have more than one individual representing the member as a director at any time and each member having a representative as a director is required to pay any additional dues for the board seat as set forth in the operating rules or otherwise approved by the board. - the quorom, voting rights or voting approval requirements of the governing body are updated as follows: unless a greater proportion is required by the dgcl, a majority of the number of directors then serving shall constitute a quorum for the transaction of business. Except as otherwise provided by the dgcl or by the certificate of incorporation or these bylaws, the act of a majority of the directors present at a meeting at which a quorum is present shall be the act of the board. In the event a director misses twenty-five percent (25%) or more meetings with or without advance notice to the chair, vice chair or executive director during any twelve (12) month period, such director's voting rights shall be suspended and such director shall not be counted for quorum purposes. The director suspension will be removed upon the third consecutive meeting of participation.

Membership in auto-isac is open to: 1. Oems: original equipment manufacturers of light duty on-road passenger vehicles in the automotive industry ("passenger vehicle oems") and of heavy duty vehicles in the automotive industry ("trucking oems") 2. Suppliers: automotive industry suppliers that manufacture and sell products or services that provide functionality or capability to vehicles and their operations; and 3. Commercial vehicle companies: entities whose business relies on the use of passenger vehicles or trucks to deliver goods and services where the vehicle has a connected presence in the connected vehicle ecosystem.

The members shall elect or appoint a chair, vice chair, secretary and treasurer. The chair, vice chair, secretary and treasurer of the corporation shall be individuals serving as directors. From each affinity group, one designated representative of a member will be elected as the chair of such affinity group by a majority of the representatives of such affinity group. The chair of each affinity group will be a director with full voting rights on the board representing such affinity group. The regional executive directors shall appoint the initial chair of the regional steering committees. The chair of the regional steering committee serves on the board of directors. The at-large directors shall be elected by plurality vote of the members.

Cybersecurity is an essential component of automotive safety due to increased connectivity of automobiles. The automotive industry faces growing challenges in managing cybersecurity threats and enhancing cybersecurity resiliency to ensure automotive safety. Addressing these challenges requires specialized skills and training that are different from traditional enterprise/information systems-focused cybersecurity educational programs. The auto-isac recognized the need for a common automotive cybersecurity educational program. The automotive cybersecurity training (act) program was established because there was no comprehensive curriculum addressing cybersecurity in the automotive segment.
