Governance Explanations

Form 990, Part VI, Line 2: Description of Business or Family Relationship of Officers, Directors, Et

Erin Hielkema and Tara Gohr, who are siblings and business partners, areco-owners of The Grant Plant. The Grant Plant provided services as described above to The Grants Collective during the current tax year. Board policy dictates that all transactions with interested persons be approved by the board and written decision retained in records. Compensation was paid at market rates and no excess benefittransactions occured.

Organization's Process to Review Form 990 Form 990 is reviewed by the signing officer, executive directors, and finance committee before filing.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

New directors, committee members and officers are required to submit, in writing, a list of potential conflicts, and make an updated disclosure annually. Such persons must also sign an annual statement affirming they have received, read and agree to comply with the policy. The board or an appropriate committee may take corrective or disciplinary action with regard to any such person who is found to be in violation of the policy.

Part X : FIN48 Footnote

The Organization has received tax-exempt status under section 501(c)(3) of the Internal RevenueCode. The Organization has adopted accounting principles generally accepted in the United States of America as they relate to uncertain tax positions for the year ended December 31, 2019, and has evaluated its tax positions taken for all open tax years. Currently, the 2016, 2017, and 2018 tax years are open and subject to examination by the U.S. Internal Revenue Service. However, the Organization is not currently under audit nor has the Organization been contacted by this jurisdiction. Management believes that the activities of the Organization are within their taxexempt purpose, and that there are no uncertain tax positions.
