Mission

The mission of the charles evans center, inc. Is to provide access to high-quality and comprehensive medical, dental and behavioral healthcare to improve the well-being and quality of life of individuals who have historically been medically underserved. Charles evans center's (cec) unique approach to healthcare includes: patient-centered care, cultural sensitivity, healthcare at an affordable cost and multilingual services.

Governance Explanations

The form 990 is reviewed and approved by the finance committee as designated by the board of directors. After the committee approves the 990, a complete copy is provided to the entire board for their approval before filing the form.

Form 990, Part VI, Section B, Line 12C

The board of directors reviews and sign the conflict of interest policy on an annual basis. In addition, the organization has procedures in place to ensure that all employees are aware of and comply wth the requirements of the policy. If there is a potential or actual conflict, the interested person must recuse himself/herself from discussion and voting on the matter.

Form 990, Part VI, Section B, Line 15

The compensation committee uses data for similar positions of similarly sized organizations to determine reasonable compensation. Once compensation is determined, the entire board of directors will meet, in an executive session, to approve the compensation.

Form 990, Part VIII, Line 11A

Acquisition of melillo center: on december 2, 2019, the acquisition of melillo by cec was administered in accordance with the resolution of the boards of directors of both entities. Management of both entities believe this transaction will benefit the programs themselves as well as the programmatic and administrative oversight of the respective programs. The acquisition did not involve an exchange of consideration such as cash, rather melillo transferred to cec its assets, liabilities and net assets, as well as its relationships, contractual obligations and entitlements. In the period leading up to the acquisition, cec incurred multiple costs in settling the affairs of melillo. Additionally, as part of its fixed assets, melillo transferred to cec land and buildings at several locations; these assets were valued at the time of the acquisition in an effort to record their fair market values as of the time of the transaction. In coordination with its funders and in an effort to maintain continuity of its programs, melillo has seamlessly transferred its programs to cec effective december 3, 2019.
