Governance Explanations

Form 990, Part VI, Section A, Line 3

Impact 2030, inc. Uses global impact for management services, including staffing, accounting, and management services. The fees paid to global impact during 2019 have been disclosed on part vii, section b.

Form 990, Part VI, Section B, Line 11B

The form 990 was prepared by outside accountants and was reviewed and approved by the board before it was filed with the irs.

Form 990, Part VI, Section B, Line 12C

All new board members and consultants complete and sign a conflict of interest form. All individuals complete a new conflict of interest form at the beginning of each fiscal year. If, during the year, a change of circumstances occurs which, creates an actual or potential conflict of interest, individuals must notify impact 2030, inc. By completing a new conflict of interest form. Procedures for addressing the conflict of interest: a. An interested person makes a presentation at the governing board or committee meeting, but, after the presentation, he/she leaves the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. B. The chairperson of the governing board or committee, if appropriate, appoints a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. C. After exercising due diligence, the governing board or committee determines whether the organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. D. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee determines by a majority vote of the disinterested directors whether the transaction or arrangement is in the organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it makes its decision as to whether to enter into the transaction or arrangement. If the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it informs the member of the basis for such belief and affords the member an opportunity to explain the alleged failure to disclose.

Form 990, Part VI, Section B, Line 15A

The salary range for the executive director position, based on the experience required, was determined based on guidance and recommendations from diversified search, the executive search firm selected for the assignment, based on the survey data they maintain. Diversified search was recommended by a member of the impact 2030 executive committee (founding partner company representative) and was one of three executive search firms, all with nonprofit executive director recruitment experience, impact 2030 interviewed. The salary range and offer was approved by the impact 2030 board and founding partner executive committee (impact 2030 funders). The deliberation process was documented in the board meeting minutes. The last compensation review was done in november 2019.

Form 990, Part VI, Section C, Line 19
