Governance Explanations

Form 990, Part VI, Section B, Line 11B

The return was prepared by outside accountants and reviewed by senior management. A copy of the 990 was provided to the board prior to filing.

Form 990, Part VI, Section B, Line 12C

The organization's directors consistently monitor communication channels to see if other directors or officers are in compliance with the conflict of interest policy. The directors and officers are annually required to disclose their interests and if any potential conflicts arise, these are reviewed during the board of directors meetings. To date the organization has not indentified any conflicts of interest. Once a conflict of interest has been found, the board or committee follows the procedures set forth in article iv in order to decide what measures are needed to protect cadasta's interests in light of the nature and seriousness of the conflict, to decide whether to enter into the transaction and, if so, to ensure that the terms of the transaction are appropriate. In the case of an insider who is a director, the director does not vote on any transaction in which the director has an interest, and the remaining board or committee members shall decide the matter.

Form 990, Part VI, Section B, Line 15A

The board is responsible for determining the compensation for the ceo, officers and directors. Comparability data is also used in this process. In 2017 the board of directors adjusted the base salary of the inrterim ceo to align his compensation to his new role. The company and the board of directors hired an outside recruiting firm to find a full-time ceo. This process took place in early 2018.

IN TURN, THIS WILL ALLOW PARTNER COMMUNITIES TO TRACK RELEVANT EXTENSION SERVICES SUCH AS MICROFINANCE, UPGRADING OF INFORMAL SETTLEMENT INFRASTRUCTURE, AND MANAGEMENT OF SUSTAINABLE NATURAL RESOURCES.FOUNDATIONAL PARTNERS FOR THE INITIAL PILOT ACTIVITIES INCLUDE HABITAT FOR HUMANITY INTERNATIONAL, NAMATI, AND LANDESA AS KEY INTERNATIONAL ORGANIZATIONS, IN ADDITION TO NUMEROUS OTHER NATIONAL AND REGIONAL ORGANIZATIONS.CHARITY PARTNERS: THE FOUNDATION HAS BUILT PARTNERSHIPS WITH OTHER CHARITABLE ORGANIZATIONS THAT WORK IN THE AREA OF LAND GOVERNANCE, PROTECTION OF INDIGENOUS RESOURCE RIGHTS AND UPGRADING OF INFORMAL URBAN SETTLEMENTS. PARTNER AGENCIES ARE GENERALLY EITHER SECTION 501(C)(3) PUBLIC CHARITIES, INTERNATIONAL CHARITIES, INTERNATIONAL AID AGENCIES, OR GOVERNMENT AGENCIES. THE FOUNDATION IS A STRONG ADVOCATE FOR OPEN DATA AND OPEN KNOWLEDGE AND HAS ADOPTED SOFTWARE AND DATA LICENSING STANDARDS THAT ENCOURAGE THE UNRESTRICTED SHARING OF SOURCE CODE TO ENABLE GOVERNMENTS, CHARITIES, AND INDIVIDUAL COMMUNITIES TO DEVELOP ECONOMIES TO TAILOR THE DATA COLLECTION SOFTWARE TO THE INDIVIDUAL NEEDS OF A PARTICULAR COMMUNITY. IN ADDITION, WHEN AN INDIVIDUAL CHARITY OR GOVERNMENT PARTNER COLLECT ISOLATED DATA, IT IS OFTEN NOT ACCESSIBLE TO THE BROADER CHARITABLE COMMUNITY.
