Governance Explanations

Form 990, Part VI, Section B, Line 11B

The return was prepared by outside accountants and reviewed by senior management. A copy of the 990 was provided to the board prior to filing.

Form 990, Part VI, Section B, Line 12C

Cadasta's governance policies and processes support compliance and monitoring of a standard, annually signed "business code of ethics and conflict of interest" statement. The directors and officers are annually required to disclose their interests and if any potential conflicts arise, these are reviewed during the board of directors meetings. To date the organization has not identified any conflicts of interest, or business ethics issues. Once a conflict of interest has been found, the board or committee follows the procedures set forth in article iv in order to decide what measures are needed to protect cadasta's interests in light of the nature and seriousness of the conflict, to decide whether to enter into the transaction and, if so, to ensure that the terms of the transaction are appropriate. In the case of an insider who is a director, the director does not vote on any transaction in which the director has an interest, and the remaining board or committee members shall decide the matter.

ONE OF THE GOALS IS TO ENABLE GOVERNMENTS, COMMUNITIES, AND INDIVIDUALS IN LOWER RESOURCE CONTEXTS TO INTERACT WITH AND CONTRIBUTE DATA THROUGH FIT-FOR-PURPOSE APPROACHES TO SECURING LAND AND RESOURCE RIGHTS. MOBILE AND SATELLITE TECHNOLOGY PLAY A CENTRAL ROLE IN ESTABLISHING FIT-FOR-PURPOSE TOOLS AND METHODOLOGIES TO IMPROVE LAND GOVERNANCE IN OFTEN REMOTE AND UNDERRESOURCED COMMUNITIES. CADASTA ALSO SUPPORTS DATA MIGRATION AND INTEGRATION FOR PARTNERS AND GOVERNMENTS TO CONSOLIDATE THEIR DATA INTO CADASTA'S HIGH-QUALITY PLATFORM WITH A BROAD SET OF FUNCTIONS AND TO VISUALIZE OTHER RELEVANT DATA SETS IN MAPS AND OTHER FORMATS.WHERE GOVERNMENT CAPACITY IS LACKING OR WHERE INFORMAL OR CUSTOMARY LAND RECORDATION SYSTEMS ARE MORE PREVALENT, CADASTA'S PLATFORM AND DATA STORAGE SYSTEM CAN SERVE AS THE BASIS FOR ALTERNATIVE DELIVERY MODELS FOR LAND-RELATED COMMUNITY SERVICES THAT REACH CADASTA'S CONSTITUENCIES MADE UP OF MARGINALIZED AND UNDERREPRESENTED GROUPS IN PRIMARILY DEVELOPING COUNTRIES. TO DELIVER THE PLATFORM TECHNOLOGY, CADASTA WORKS WITH INTERNATIONAL AND IN-COUNTRY PROGRAM PARTNERS THAT WORK IN THE AREA OF LAND GOVERNANCE, PROTECTION OF INDIGENOUS TERRITORIES AND RESOURCE RIGHTS, CONSERVATION, CLIMATE, AND UPGRADING OF INFORMAL URBAN SETTLEMENTS. SOME OF THE PARTNERS ARE BASED IN THE UNITED STATES, INCLUDING HABITAT FOR HUMANITY, LANDESA, AND NAMATI, WHILE OTHER NGOS ARE BASED OUTSIDE OF THE UNITED STATES, SUCH AS EARTHWORM FOUNDATION, TMG SUSTAINABILITY THINK TANK, INTERNATIONAL LAND COALITION, TENURE FACILITY, ZOA, AND OTHER PARTNER AGENCIES THAT ARE GENERALLY EITHER SECTION 501(C)(3) PUBLIC CHARITIES, INTERNATIONAL CHARITIES, OR NATIONAL LEVEL NGOS.
