Form 990, Part VI, Section B, Line 12C

The organization requires all directors, officers, and key employees to annually complete and sign a conflict of interest disclosure statement. These disclosures are reviewed by management and the board (or an authorized committee) to identify potential conflicts. When a potential conflict arises, the individual involved is required to disclose the interest and abstain from both discussion and voting on related matters. The board or committee documents all determinations and actions taken in the meeting minutes. The organization regularly monitors compliance with this policy through annual certifications and ongoing oversight during board and committee meetings.

Form 990, Part V, Line 2A

Ibbg utilizes a professional employer organization ("peo") to provide payroll administration, benefits, and hr support. All of the ibbg's staff are common law employees of the organization, although their wages, benefits, and employment taxes are processed and remitted by the peo. In accordance with the irs form 990 instructions (glossary, definition of "employee"), individuals who are common law employees of the organization are reported as employees of the organization for purposes of part i, line 5, part vii (compensation of officers, directors, key employees, etc.), and part ix (statement of functional expenses), regardless of whether the compensation is paid through a peo . Compensation amounts reported in part vii and part ix include gross wages, benefits, and payroll taxes paid through the peo for the services of the ibbg's common law employees, consistent with the form 990 instructions. With respect to part v, lines 1a and 2a: although the peo files federal employment tax returns (forms 941, 940, w-2, etc.) under its own ein as the "employer of record," the organization has confirmed that all required employment tax returns have been timely filed and all employment tax obligations satisfied.

As of December 31, 2024, the Organization has no uncertain tax positions that qualify for either recognition or disclosure in the financial statements. Tax years subsequent to 2020 remain subject to examination by major tax jurisdictions. The Organization has concluded that there are no significant uncertain tax positions requiring disclosure, and there are no material amounts of unrecognized tax benefits.
