The articles of incorporation were amended and restated as of march 15, 2016 in order to add to the organization's mission "housing for the elderly and aging populations and also to expand the areas of established need to "nebraska, iowa, kansas, oklahoma, colorado, minnesota, south dakota, missouri, arkansas, or texas, or with unanimous consent of the board of directors".

Form 990, Part VI, Section B, Line 11B

A copy of the form 990 is not provided to the governing body prior to filing. The review process used by the organization to review the 990 prior to filing is as follows: a draft of the form 990 is provided to the chief financial officer and is reviewed in detail by the president, the chief financial officer and his staff. The return is not filed until the form 990 and all supplemental information attached to the return have been approved by the chief financial officer. The chief financial officer is the authorized signer for the form 990.

All transactions that could be of financial benefit to the above mentioned individuals go to an approval process by independent board members and sub-committees.

The ceo completes an annual self-evaluation and submits it to the board chairman. The board chairman then completes a supplemental evaluation and sends it to the entire board for review, comment and additional feedback. The compensation committee then meets to discuss the evaluation results and feedback. The committee's recommendations and conclusions are then presented to the entire board. There is an evaluation process for all employees and the overall increase in salaries and bonuses is approved by the independent board members.

FORM 990, PART XII, QUESTION 2C:

The audit process is directed by the chief financial officer. Once the audit is complete, the audit report is presented to the audit committee by the independent auditing firm. All audit committee members have the opportunity to have all questions answered. When the audit committee is satisfied with the audit report, the audit committee recommends to the board of directors that the audit report be approved. This oversight process is completed prior to the annual meeting. When the audit is up for bid, the audit committee recommends to the board whether or not the existing auditing firm should be retained or replaced.

Financial Statement Notes

PART X, LINE 2:

The corporation is exempt from federal income tax under section 501(c)(3) of the internal revenue code and state income tax. Accordingly, no provision for federal and state taxes on revenue and income has been recognized in the accompanying financial statements. Generally, the federal and state returns are subject to examination for three years after the later of the original or extended due date or the date filed with the applicable tax authorities.

(MHEG) PROVIDES ACQUISITION, ADVISORY AND ASSET MANAGEMENT SERVICES PRIMARILY BY ACTING AS THE GENERAL PARTNER OF APPROXIMATELY 42 LIMITED PARTNERSHIPS (THE "FUNDS") WHICH INVEST EQUITY CAPITAL IN OTHER PARTNERSHIPS OR LLCS FORMED TO DEVELOP, OWN AND OPERATE AFFORDABLE HOUSING PROJECTS WHICH ARE ELIGIBLE FOR FEDERAL TAX CREDITS UNDER SECTION 42 OF THE INTERNAL REVENUE CODE. IN ADDITION TO PROVIDING EQUITY FOR THESE PROJECTS, MHEG PROVIDES TECHNICAL AND ADVISORY SERVICES TO THE PARTNERSHIPS FOR A FEE.IN 2016, MHEG PARTNERED WITH 35 DEVELOPERS TO CLOSE $190 MILLION IN EQUITY FOR 42 DEVELOPMENTS, CREATING 1,674 AFFORDABLE HOUSING UNITS. FOURTEEN AGE RESTRICTED HOUSING PROJECTS WERE DEVELOPED, CREATING 655 UNITS. DEVELOPMENT OF FIFTEEN MULTIFAMILY HOUSING COMMUNITIES IMPACTED FOURTEEN MIDWEST COMMUNITES BY PROVIDING 570 AFFORDABLE HOUSING UNITS. FIVE SINGLE FAMILY NEIGHBORHOODS WERE DEVELOPED OFFERING 124 HOMES. EIGHT SPECIAL NEEDS HOUSING DEVELOPMENTS WERE COMPLETED IN FIVE STATES OFFERING 325 UNITS. PROJECTS RANGED FROM A 10 UNIT RURAL DEAL TO A 172 UNIT URBAN DEAL AND REPRESENTED 38 MIDWEST COMMUNITIES.
