The agency adopted restated bylaws in may 2019. Generally, the new document expands description of processes and provides more clarity than the original document. The changes that require disclosure are: 1) the number, composition, qualifications, authority, or duties of the governing body's voting members. The maximum number of voting board members was changed from 6 to 10; possible corporate officers described in the original document were president, vice president, secretary, treasurer. The new document includes chair of the board, executive director, vice chair of the board, secretary, assistant secretaries, treasurer, and assistant treasurer. 2) the provisions to amend the organizing or enabling document or bylaws; the percentage of board members needed to amend the organizing document changed from 67% to a majority of the board. 3) the composition or procedures contained within the organizing document or bylaws of an audit committee. The new bylaws include establishment of an audit committee; this was not the case in the original bylaws.

At the first annual board meeting each year, the officers and members of the board of directors are provided with conflict of interest disclosure forms to complete. The executive director reviews the organization's conflicts of interest disclosure forms to ensure that any actual or potential conflicts of interest are properly handled in accordance with the organization's conflicts of interest policy. If further information is required, the executive director speaks with the individual director, officer, or employee involved, as appropriate. Im will also document, through well-kept minutes, any decisions related to transactions involving an actual or possible conflict of interest. Finally, im will be diligent in taking appropriate disciplinary and corrective action if a person who is covered by the conflict-of-interest policy fails to disclose an actual or possible conflict of interest.

The board, which consists of independent members, has determined fair and equitable compensation based on compensation of executive directors of agencies of similar size, field and location.
