The organization's 990 is reviewed by both of the managing directors and the board president for accuracy and completeness. A copy of the the 990 is provided to the entire board for their review prior to filing.

Form 990, Page 6, Part VI, Line 12C

The organization's conflict of interest policy requires that all directors, principal officers, or members of a committee with governing board delegated powers must review the conflict of interest policy, agree to abide by it, and disclose all potential conflicts of interest. This is done at least on an annual basis. The governing board is responsible for reviewing potential conflicts of interest, independent from the interested person. This may include electing a committee to investigate alternatives. The governing board (excluding the interested person) shall determine by majority vote whether to enter into the transaction or arrangement. The governing board shall periodically review compensation and transactions for potential conflicts of interest. If the governing board has reasonable cause to believe a member has failed to disclose a potential conflict of interest, it shall inform the member and provide them an opportunity to explain and for the governing board to investigate and take appropriate action. All proceedings related to disclosing, evaluating, and voting upon potential conflicts of interest shall be recorded contemporaneously in the minutes.

Compensation for the managing directors is determined by the board of directors who are independent of the managing directors. Salary surveys and comparability data for similar positions in similar regions are used to establish a reasonable level of compensation. The deliberation and determination of compensation is contemporaneously documented in the board minutes.
