The draft of the Form 990 will be reviewed and approved by the Board of Directors prior to filing with the IRS.

Form 990, Part VI, Section B, line 12C

The Organization's Conflict of Interest Policy covers members of the Board of Directors. Directors complete an annual disclosure statement and have a duty to disclose actual or potential conflicts of interest that arise during the year to the Board of Directors. The Board of Directors shall provide a disinterested review of the matter that is the subject of a conflict of interest. A Director having a conflict of interest should absent him- or herself from any discussion of the matter, should not use his or her personal influence with respect to the matter, and should abstain from casting any vote. To the extent that the remaining members of the Board determine that the Director can provide information that may be useful, the Director having a conflict may provide that information to the Board and answer pertinent questions from the other members of the Board before the Board casts its vote. A Director having a conflict of interest shall not be counted as present for the purpose of determining whether a quorum is established, even if permitted by law. The Director's absence from the discussion and vote of the Board, and the establishment of the quorum without counting that Director, should be documented in the minutes of the Board meeting and made a part of the records of the Organization.

Part X, Line 2:

The Organization received authority from the Internal Revenue Service (IRS) to operate as a tax-exempt organization under section 501(c)(3) of the Internal Revenue Code. Management evaluated the Organization's tax positions and concluded that the organization had taken no uncertain tax positions that require adjustment to the financial statements to comply with the authoritative guidance for uncertain tax positions. This guidance requires the Organization to analyze all open tax years, as defined by the statutes of limitations, for all major jurisdictions, which includes federal and certain states. The Organization is required to file Form 990 based on its exemption notice from the IRS.

IRS990/Desc0Sophia's Place is a staffed programmatic overnight shelter serving women on the Eastside. Open from 6:45pm to 7:45am every night of the year, it provides a hot dinner and breakfast, hygiene center, laundry facilities, computers, telephone, and a safe place to stay featuring private cubicles, locking closets for personal belonging, life skills classes and Companion Program. With 21 beds and stays of up to six months, Sophia's Place served 70 clients in 2015 with 53 women exiting the program during the year and 17 in the program at year end. The program provided a total of 7,277 bed nights in 2015.

IRS990/ProgSrvcAccomActy2Grp/Desc0Sophia's Home provides secure transitional and permanent housing for up to 42 women at a time who have completed the Sophia's Place program. We place clients in stable, subsidized apartments or community housing. Clients pay 30% of their income for rent (and utilities, if appropriate), and The Sophia Way provides the remainder of the rent with subsidies from King County, King County Housing Authority, and private donations. With support from United Way of King County and King County, we continue providing case management services and referrals to a multitude of social services. We believe this relationship is an important key to a successful transition to independence and we aim to provide a robust on-going support system. In 2015 we served 46 clients with transitional and permanent housing.

The Emergency Shelter includes a hot dinner, breakfast, floor mats and blankets for sleeping, access to shower facilities, and referrals for outside resources. We served 315 clients during the 2015-2016 winter season from October 2015 - May 2016.

Directors complete an annual disclosure statement and have a duty to disclose actual or potential conflicts of interest that arise during the year to the Board of Directors. The Board of Directors shall provide a disinterested review of the matter that is the subject of a conflict of interest. A Director having a conflict of interest should absent him- or herself from any discussion of the matter, should not use his or her personal influence with respect to the matter, and should abstain from casting any vote. To the extent that the remaining members of the Board determine that the Director can provide information that may be useful, the Director having a conflict may provide that information to the Board and answer pertinent questions from the other members of the Board before the Board casts its vote. A Director having a conflict of interest shall not be counted as present for the purpose of determining whether a quorum is established, even if permitted by law. The Director's absence from the discussion and vote of the Board, and the establishment of the quorum without counting that Director, should be documented in the minutes of the Board meeting and made a part of the records of the Organization.
