“Line 6 explanation - There are two classes of Regular Members: - Regulated Natural Gas Utilities that serves customers in Washington, Oregon, Idaho or the Provinces of British Columbia and Alberta. - Any business entity that owns and operates natural gas transmission pipelines in Washington, Oregon, Idaho, or the Provinces of British Columbia and Alberta and are actively engaged in business as a United States Federal Energy Regulatory Commission (FERC) or a Canadian National Energy Board (NEB) regulated natural gas pipeline. Affiliated Members. Separate categories or classes of Affiliated Members, without the right to serve on the Board of Directors and without voting rights, may be established from time to time by the Board of Directors to meet the interests of those who wish to participate in the Association on a selective basis.”

“Line 7a explanation - The affairs of the Corporation are managed by a Board of Directors.”

“Line 7b explanation - Each Regular Member has representation on the board and each Regular Member is entitled to one vote on each matter submitted to a vote of the Association.”

“Form 990 is reviewed by the signing officer, Executive Director, and Business Manager prior to being filed.”

“Conflict of interest policy is in the organizational Bylaws, distributed and acknowledged by new Board Members upon election and reviewed annually by the Board of Directors.”

“The Executive Director's salary and potential bonus are approved by the Board on an annual basis. Actual bonus is Board-approved annually. The bonus is approved based on the organizations performance and the individual performance on the employee.”
