Mission and Program Overview

Mission

T1d exchange is a leading provider of real-world evidence, dedicated to improving outcomes for the entire t1d population through driving collaborative change. T1d exchange actively supports quality improvement and innovation through its quality improvement collaborative, patient registry, and data-oriented research services. It plays an active role in creating real-world impact with this integrated data by providing clinicians, researchers, industry partners and advocates with the resources and services they need for better decision support and population health management.

The first initiative of the organization will be the development of a type 1 diabetes exchange ("t1d exchange"). The mission of the t1d exchange is to advance the understanding of type 1 diabetes and to identify promising new treatments and technologies. This is intended to be achieved by collaboration between patients with type 1 diabetes, their caregivers, clinicians, and researchers from the field. The t1d exchange consists of three components: (1) a clinic-based patient data registry to capture longitudinal medial data on individuals with new-onset diabetes and individuals with established diabetes; (2) a state-of-the-art biorepository that contains biological fluid and tissue samples from participants with type 1 diabetes who have consented to the collection of the samples; and (3) an interactive website with an integrated mobile application for use by participants with type 1 diabetes and their caregivers to share the participant health data. The website will be known as "glu."

Financial Statement Notes

PART X, LINE 2:

The organization is a nonprofit organization as described in section 501(c)(3) of the internal revenue code and is exempt from federal and state income taxes. As a result, no provision for income taxes is presented in these financial statements. However, in certain circumstances, the organization may be subject to federal and state income taxes for profits generated from unrelated trade or business income. As december 31, 2013 and 2012, management's position is that the organization does not have any liabilities associated with unrelated trade or business income. The organization assesses the recording of uncertain tax positions by evaluating the minimum recognition threshold and measurement requirements a tax position must meet before being recognized as a benefit in the financial statements. The organization's policy is to recognize interest and penalties accrued on uncertain tax positions as a component of income tax expenses, if any, in its statements of activities. The organization has not recognized any liabilities for uncertain tax positions or unrecognized benefits as december 31, 2013 and 2012. The organization does not expect any material change in uncertain tax benefits within the next twelve months. As of december 31, 2013 and 2012, the organization is not currently under examination by any taxing jurisdictions and is generally open to examination for three years from the date of filing.

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
