Governance Explanations

Form 990, Part VI, Section A, line 1A

Executive Committee: The Board may appoint the President, Vice President, and Secretary/Treasurer, to serve as the Executive Committee of the Board. The Executive Committee, unless limited in a resolution of the Board, shall have and may exercise all the authority of the Board in the management of the Corporations affairs between meetings of the board; provided, however, the Executive Committee shall not have the authority of the Board to: a. Approve any action that, under the non-profit corporation laws of the state of North Dakota, also requires the affirmative vote of the members of a non-profit corporation. b. Fill vacancies on the Board of Directors or in any task force that has the authority of the Board. c. Fix compensation of the directors for serving on the Board or on any task force. d. Amend or repeal the Articles of Incorporation or Bylaws or adopt new Bylaws. e. Amend or repeal any resolution or motion of the Board of Directors. f. Appoint any other task force of the Board of Directors or members of such task force. g. Approve a plan of voluntary dissolution; bankruptcy or reorganization; or for the sale, lease, or exchange of all or substantially all of the property and assets of the corporation. h. Direct, discipline, terminate, or otherwise manage Corporate employees. i. Approve any transaction between Corporation and one or more of its directors. j. Bind the Corporation in a contract or agreement. The Secretary/Treasurer of the Corporation shall send to each director a summary report of the business conducted within fourteen (14) days of any meeting of the Executive Committee; said summary report must have approval of a majority of the Executive Committee. The Executive Committee is not currently active.

Upon receipt of the Form 990, the Executive Director reviews the return for accuracy, questions and comments. The Form 990 is then forwarded on to all members of the board of directors for their review and comments prior to filing with the IRS.

Form 990, Part VI, Section B, line 12C

All staff and board members are required to report any actual or perceived conflicts of interest. Upon disclosure, board members are required to abstain from voting or discussion of the conflicted agenda item. Staff would be required to excuse themselves from discussions of conflicted items and defer to board recommendations.

The Board of Directors is responsible for setting the Executive Director's salary and reviewing/making adjustments on an annual basis based on performance and cost of living increases. The Executive Director is responsible for setting all other employee pay wages and reviewing on an annual basis. The budget which notes all staff pay rates is approved by the board on an annual basis.

Financial Statement Notes

Part IV, Line 2B:

Pursuant to certain loan and grant agreements, AHDI is to maintain separate tenant security deposit accounts on various properties. The accounts must be insured by the FDIC and must maintain sufficient funds in the account to cover the security deposits collected from current tenants. As of December 31, 2021 and 2020, tenant security deposits totaled $24,497 and $26,901.

Part X, Line 2:

AHDI believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the consolidated financial statements. The entity would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

The Executive Committee, unless limited in a resolution of the Board, shall have and may exercise all the authority of the Board in the management of the Corporations affairs between meetings of the board; provided, however, the Executive Committee shall not have the authority of the Board to: a. Approve any action that, under the non-profit corporation laws of the state of North Dakota, also requires the affirmative vote of the members of a non-profit corporation. b. Fill vacancies on the Board of Directors or in any task force that has the authority of the Board. c. Fix compensation of the directors for serving on the Board or on any task force. d. Amend or repeal the Articles of Incorporation or Bylaws or adopt new Bylaws. e. Amend or repeal any resolution or motion of the Board of Directors. f. Appoint any other task force of the Board of Directors or members of such task force. g. Approve a plan of voluntary dissolution; bankruptcy or reorganization; or for the sale, lease, or exchange of all or substantially all of the property and assets of the corporation. h. Direct, discipline, terminate, or otherwise manage Corporate employees. i. Approve any transaction between Corporation and one or more of its directors. j. Bind the Corporation in a contract or agreement. The Secretary/Treasurer of the Corporation shall send to each director a summary report of the business conducted within fourteen (14) days of any meeting of the Executive Committee; said summary report must have approval of a majority of the Executive Committee. The Executive Committee is not currently active.
