Bismarck-Mandan Development Association

“On September 18th, 2018 a quorum of the voting members of the Board of Directors of Bismarck-Mandan Development Association was reached to merge the Bismarck-Mandan Development Association with the Bismarck-Mandan Area Chamber of Commerce. On October 5th, 2018 the Bismarck-Mandan Area Chamber of Commerce voted in favor of the merger as well. Articles of merger were signed on October 26, 2018 with an effective date of the merger being 12:00 a.m., January 1, 2019. The Bismarck-Mandan Area Chamber of Commerce is the surviving corporation in the Merger; however the name of the surviving corporation will be Bismarck-Mandan Chamber EDC.”

“Members: The corporation shall have one class of members. The designation of such class and the qualifications of the members of such class shall be as follows: Such class shall be designated as regular membership and any person, firm, partnership, corporation, association, trustee, or trustees, indicating a desire to affiliate with this organization shall be eligible to such membership.”

“Voting: Each dues paying member shall be entitled to one vote on each matter submitted to a vote of the members. All board members, referred by the nominating committee or by five or more members, are elected by the general membership at the annual meeting.”

“There are no committees that may act on behalf of the board.”

“The Form 990 will be distributed and reviewed by the 10 members of the Bismarck Mandan Chamber EDC Board of Directors who served previously on the Bismarck-Mandan Development Association's Board of Directors.”

“Annually, comparable data is obtained and presented to the executive committee. A recommendation is then given to the independent board of directors who in-turn vote on the compensation amount. This information is documented in the meeting minutes.”

“The governing documents and financial statements are available upon request.”

“The Bismarck-Mandan Development Association merged into Bismarck-Mandan Area Chamber of Commerce effective 12:00 a.m., January 1, 2019. See narrative on Schedule O, Part VI, line 4 for additional information.”
