The Climate Group is an independent tax exempt organization that brings together networks of international businesses and governments to shift markets and policies toward the goal of under 2C of global warming and greater prosperity for all, without delay. We act as a catalyst to take innovation and solutions to scale. And we use the power of communication to build ambition and pace.

Governance Explanations

Form 990, Part VI, Line 4 Significant changes to organizational documents

A resolution passed by the Climate Group Inc's board of directors on August 12 agreed that effective August 12th, The Climate Change Organisation, as the founder of the TCG Network, would be the sole member of the Climate Group. A Memorandum of Understanding went into effect December 2nd, 2021, confirming that resolution and detailing the key changes, the primary being that TCG-US will act in coordination with TCG - London at all times. The Bylaws were subsequently updated to reflect these changes.

The Climate Change Organisation is recognized as the sole member of the Climate Group per the Board Resolution dated August 12 2021 and the subsequent MOU dated December 2 2021.

The organization maintains a conflict of interest policy to which the board complies by signing an annual affirmation of adherence to the policy. At this time, management is unaware of any conflicts that exist. The organization strictly prohibits in engaging in any activity financial or otherwise which is incompatible with his/her duties at the climate group.

The climate group annually reviews compensation using current reporting and research done by available third-parties. The last pay review was completed in 2021. The compensation for the executive director was deliberated in depth by both the board of directors for tcg-us and the chief officers at the climate change organisation. This process is done in a closed meeting and no minutees are taken.

Financial Statement Notes

Schedule D, Part X, Line 2 FIN 48 (ASC 740) footnote

The Corporation has adopted accounting guidance related to accounting for uncertainty in income taxes. This guidance requires the Corporation to recognize a tax benefit only if it is more likely than not the tax position would be sustained in a tax examination, with a tax examination being presumed to occur. The amount recognized is the largest amount of tax benefit that is greater than 50% likely of being realized on examination. For tax positions not meeting the more-likely-than-not test, no tax benefit is recorded. The Corporation has examined this issue and has determined there are no tax positions that result in any uncertainties regarding the possible impact on the consolidation financial statements.

IRS990/Desc0This Financial Year saw growth of our major initiatives as well a shift back to physical events to support of convening role in bringing business and governments together to support climate action. Climate Week NYC grew to the biggest year to day, now bringing together over 500 events across the city as well as hosting a series of high-level sessions specifically aligned to our work. This in turn has supported our decision to develop and grow the US Climate Action Summit, aimed at specifically addressing US opportunities for business, government and the NGO sector, to take place annually ahead of Earth Day. Electric vehicles, renewable energy and built environment continue to be focal points of our work, attracting new members and creating opportunities for pursuing a wider and more ambition range of activities, both across systems and government networks. As Secretariat of the Under2 Coalition we have also seen positive engagement at a subnational level and used this to look for additional opportunities to align with our systems priorities. Following a fully digital Climate Week NYC in 2020 due to Covid-19 we developed a hybrid event approach to ensure we could continue the growth of the week whilst supporting wider engagement for those unable to travel. Our Opening Ceremony took place as a physical event with reduced capacity that was livestreamed whilst our "The Hub Live" series was broadcast from a studio to a worldwide audience. Our wider week program of events, hosted by third parties and promoted through our platform, grew to over 500 events. These were a mixture of digital, hybrid and physical events, spread across ten key themes and hosted within the five boroughs of New York City. Our persistent growth over previous years and resilience through the pandemic help ensure Climate Week NYC has growth to one of the most significant moments in the climate calendar, supported increased unrestricted income through sponsorship, and oversaw an major upsurge in media engagement. This included a partnership with the eight major late-night TV shows who created an evening of climate related content, called Climate Night, that was viewed by millions across US networks and saw major international coverage. Climate Week NYC continues to provide a forum for accelerating climate action by bringing together senior figures from business and government, including our networks, to tackle a range of themes and topic that align with our organizational goals. The increasing popularity and reputation of the week, alongside increasing incomes, has allowed us more freedom to create content and sessions more targeted to our specific areas of work and global priorities, ensuring that this major project provides significant value to the success of our government and systems work. Following the success of the US Climate Action Week in 2020, creating a platform to bring together events and initiatives around Biden's Climate Action Summit in the style of Climate Week NYC, we decided to develop the concept in a way that would further focus on our organizational priorities. We decided the best way to do this would be to adapt the week from a convening moment to a curated day of sessions exploring US specific business and government priorities for climate action, renamed the US Climate Action Summit. Due to the unpredictable recovery from lockdown due to Covid-19 we decided to make this a livestreamed event, broadcast from a studio in Washington DC. The event brought together over 500 senior leaders from business and government who heard from and engaged with a range of high-profile speakers. EV100 - EV100 members have now totaled 119 members. New EV100 members from July 2021 to June 2022: Gilead Sciences, NRG Energy Inc and Veris Residential. Collectively they have committed almost 4,000 vehicles. Corporate US members have committed 20,641 vehicles while our biggest commitment is from US leasing company Lyft, of over 2,000,000 vehicles. From the 2022 An
