We act as a catalyst to take innovation and solutions to scale. And we use the power of communication to build ambition and pace.

The Climate Group works internationally with business and governmental leaders to set the global economy on the path to a prosperous, low-carbon future.

TCG's management reviewed a draft of the form 990 with their independent paid tax-preparer, prior to filing the return with the IRS. The completed 990 form was provided to the full board prior to filing with the IRS.

The organization maintains a conflict of interest policy to which the board complies by signing an annual affirmation of adherence to the policy. At this time, management is unaware of any conflicts that exist. The organization strictly prohibits in engaging in any activity financial or otherwise which is incompatible with his/her duties at the climate group.

THE EXECUTIVE DIRECTOR'S COMPENSATION IS APPROVED BY THE BOARD OF THE ORGANIZATION AS WELL AS THE MANAGEMENT OF THE ORGANIZATION'S LONDON AFFILIATE, THE CLIMATE CHANGE ORGANIZATION. WHEN DETERMINING COMPENSATION A REVIEW OF THE NON-PROFIT SALARIES OF SIMILAR ORGANIZATIONS IS CONDUCTED TO DETERMINE IF THE COMPENSATION IS REASONABLE. THE FORMAL APPROVAL OF COMPENSATION IS THEN DOCUMENTED IN THE BOARD MINUTES. A review of the executive director's compensation was completed for FY16 and a 2% cost of living increase was approved by the Finance Committee on Sep 18, 2015 and unanimously approved by the Board of Directors on Dec 16, 2015.

Financial Statement Notes

Schedule D, Part X, Line 2 FIN 48 (ASC 740) footnote

The Corporation is exempt from federal and state taxes under Section 501(c)(3) of the Internal Revenue Service Code and Section 23701d of the Delaware revenue and Taxation Code, and is considered by the IRS to be an organization other than a private foundation. In the opinion of management, there is no unrelated business income. Accounting principles generally accepted in the United States of America (U.S. GAAP) prescribes recognition thresholds and measurement attributes for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return. Tax benefits will be recognized only if the tax position is more-likely-than-not sustained in a tax examination, with a tax examination being presumed to occur. The amount recognized will be the largest amount of tax benefit that is greater than 50% likely of being realized on examination. For tax positions not meeting the more-likely-than-not test, no tax benefit will be recorded. Management has concluded that they are unaware of any tax benefits or liabilities to be recognized at June 30, 2016 and 2015. The Corporation is no longer subject to examination by U.S. federal taxing authorities and for all state income taxes through 2012. The Corporation does not expect the total amount of unrecognized tax benefits to significantly change in the next 12 months. The Corporation would recognize interest and penalties related to unrecognized tax benefits in interest and income tax expense, respectively. The Corporation has no amounts accrued for interest and penalties as of June 30, 2016 and 2015.

IRS990/Desc0The Climate Group successfully achieved significant objectives in FY 15/16: increasing the number of state and regional governments committing to new climate efforts (such as reporting on their emissions); increasing the number of corporates joining our 100% renewable electricity RE100 campaign; launching EP100 as a new corporate campaign in which companies double their energy productivity; and delivering another impactful Climate Week NYC. Highlights of our achievements include: States & Regions * We celebrated the 10-year anniversary of our States & Region Alliance with our largest ever General Assembly meeting at COP21 in Paris. Forty Governors, Premiers and Ministers from 30 governments from around the world participated. We were also pleased to welcome seven new governments to the Alliance during 2015/16, including three from the US (Oregon, Washington, and Vermont). * We supported the launch of the 'Under2 MOU' which commits signatory governments to limit greenhouse gas emissions to 2 tons per capita or 80-95% below 1990 levels by 2050. Led in the US by the State of California, a total of 135 sub-national governments across 32 countries and 6 continents had committed to the Under2 MOU by June 2016, making it the largest initiative of its type in the world. The Climate Group was announced as the Secretariat for the Under2 Coalition at COP21. * At COP21 we also launched the first ever 'Compact of States and Regions Disclosure Report'. This provides a transparent account of progress towards greenhouse gas reduction targets set by state and regional governments. The report was commended by UN Secretary-General Ban Ki-Moon, who attended the launch. A total of 44 governments, including 6 US states, had reported to the Compact by the end of 2015, representing more than 325 million people and accounting for one-eighth of the global economy ($10.5 trillion). Collectively, the targets set by the reporting governments will deliver emissions reductions by 2030 equivalent to China's current annual emissions. * We continued to facilitate peer-to-peer learning and best-practice sharing between state and regional governments through regular webinars and case studies. In particular, we launched the 'Energy Transition Platform', which supports 11 highly industrialised, carbon-intensive states, and regions including Minnesota, to accelerate the low carbon transition through developing, sharing and implementing innovative clean energy policies. * Throughout the year we convened meetings of subnational government leaders alongside major climate events including the World Summit Climate & Territories in Lyon, Climate Summit of the Americas in Toronto (July, 2015), Climate Week NYC (September, 2015), COP21 in Paris, International Green Growth Forum 2016 in Cardiff, Climate Action 2016 Summit in Washington DC (May, 2016), and the Sub-national Clean Energy Ministerial (Sub-CEM) in San Francisco (June, 2016) during CEM7 Business Actions * Our RE100 initiative firmly established itself as one of the leading international campaigns driving corporate demand for renewable energy in FY15/16. During the year, membership more than trebled growing from 20 companies to nearly 70 by the end of June. New US-headquartered members included Microsoft, Mars, and Google. The 2016 RE100 Annual Report found that on average, companies in the campaign were half way to meeting their 100% renewable power targets. * We launched EP100, a complementary sister initiative to RE100, in May 2016 in Washington, DC at EE Global with partner ASE. Like RE100, EP100 is a corporate commitment campaign, but in this case businesses make a commitment to doubling their 'energy productivity' over a 25-year period in-line with international best practice. Energy productivity is about producing more goods and services with less energy. EP100 complements RE100, because if companies use less energy, this makes it easier and cheaper to move to 100% renewables - a connection best summed up b

In the opinion of management, there is no unrelated business income. Accounting principles generally accepted in the United States of America (U.S. GAAP) prescribes recognition thresholds and measurement attributes for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return. The amount recognized will be the largest amount of tax benefit that is greater than 50% likely of being realized on examination. For tax positions not meeting the more-likely-than-not test, no tax benefit will be recorded. Management has concluded that they are unaware of any tax benefits or liabilities to be recognized at June 30, 2016 and 2015. The Corporation is no longer subject to examination by U.S. federal taxing authorities and for all state income taxes through 2012. The Corporation does not expect the total amount of unrecognized tax benefits to significantly change in the next 12 months. The Corporation would recognize interest and penalties related to unrecognized tax benefits in interest and income tax expense, respectively. The Corporation has no amounts accrued for interest and penalties as of June 30, 2016 and 2015.
